Common use of Subsequent costs Clause in Contracts

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent promptly on demand the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) 27.2.1 the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer CertificateCertificate or Increase Confirmation) executed after the date of this Agreement; and (b) 27.2.2 any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and; (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement; and (c) any other matter not of an ordinary administrative nature arising out of or in connection with any Finance Document.

Subsequent costs. The Company must pay to or reimburse on demand the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all reasonable costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) executed entered into after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreementa Finance Document.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) ), supported by an invoice or other evidence of incurrence, reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an any Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent and the Security Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) and any document under which any Security Interest is released pursuant to Clause 25.17 (Release of Security) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and; (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement; and (c) when a Default has occurred which is outstanding, the monitoring of the Development.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) with any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and; (b) any amendment, waiver or consent requested by or on behalf of an Obligor provided that the Company and the Guarantor approved such costs and expenses prior to their being incurred; and (c) any amendment, waiver or consent specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal and notarial fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement.

Subsequent costs. The Company Obligors’ Agent must pay to the Facility Agent the amount of all reasonable costs and expenses (including reasonable legal fees) reasonably properly incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the each Facility Agent the amount of all costs and expenses (excluding costs and expenses that are solely internal costs of the relevant Facility Agent and including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; andand 119 (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all documented costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor a Borrower or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) executed entered into after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreementa Finance Document.

Subsequent costs. The Company must pay to the Facility Agent and the Security Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Bridge Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and-------------------------------------------------------------------------------- (b) any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement; and (c) any other matter not of an ordinary administrative nature arising out of or in connection with any Bridge Finance Document.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than the Syndication Agreement or a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an any Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate, and any internal costs of the Finance Parties) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor the Company or the Parent or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and; (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this AgreementObligor; and (c) the delivery of, and creation of any Security Interest with respect to, Required Security.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) 25.2.1 the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) 25.2.2 any amendment, waiver or consent requested by or on behalf of an Obligor the Company or specifically allowed by this Agreement.

Subsequent costs. The Company must pay or procure that such payment is made to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred by it in connection with: (a) the negotiation, preparation, printing and execution of any Finance Document (other than a Transfer Certificate) executed after the date of this AgreementSigning Date; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.

Subsequent costs. The Company must pay to the Facility Agent the amount of all costs and expenses (including legal fees) reasonably incurred and properly documented by it in connection with: (a) the negotiation, preparation, printing and execution entry into of any Finance Document (other than a Transfer Certificate) executed after the date of this Agreement; and (b) any amendment, waiver or consent requested by or on behalf of an Obligor or specifically allowed by this Agreement.
