Common use of Subsidiary Boards Clause in Contracts

Subsidiary Boards. The composition of the board of directors or board of managers, if and as applicable, of each of the Company’s subsidiaries shall be the same as that of the Board unless the Parthenon Stockholders and the Xxxxx Stockholders otherwise agree or as may be required by law.

Subsidiary Boards. The composition of the board of directors or board of managers, if and as applicable, of each of the Company’s subsidiaries shall be the same as that of the Board unless the Parthenon Stockholders Investors and the Xxxxx Stockholders otherwise agree or as may be required by law.

Subsidiary Boards. The composition of the board of directors or board of managers, if and as applicable, of each Subsidiary of the Company’s subsidiaries Company (together, the “Sub Board(s)”), and the director or manager (as applicable) removal and vacancy filling provisions with respect to the Sub Boards, shall be the same as that of the Board Board, unless otherwise determined by the Parthenon Stockholders and the Xxxxx Stockholders otherwise agree or as may be required by lawBoard.
