Common use of Subsidiary Change in Control Clause in Contracts

Subsidiary Change in Control. Notwithstanding Section 1.23(a)(i) hereof, in the event of a Subsidiary Change in Control, Good Reason shall exist if Xx. Xxxxxxx is offered employment with the acquiring employer with a job title, duties and status which are materially and detrimentally lower than Xx. Xxxxxxx’x job title, duties and status in effect at the Company as of the date the offer of employment is received.
