Subsidiary Incumbency Certificates. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of each other Subsidiary of the Borrower which is a party to a Loan Document, dated the Closing Date, as to the incumbency and signature of the officers of such Subsidiary, satisfactory in form and substance to the Administrative Agent, executed by the President or any Vice President and the Secretary or any Assistant Secretary of each such Subsidiary.

The Lenders shall have received a certificate of each Subsidiary of the Borrower which is a Loan Party, dated the Closing Date, as to the incumbency and signature of the officers of such Subsidiaries executing any Loan Document, satisfactory in form and substance to the Lenders, executed by the President or any Vice President and the Secretary or any Assistant Secretary of each such Subsidiary.

The Administrative Agent shall have received, with a counterpart for the Administrative Agent and a copy for each Lender, a certificate of each Subsidiary of the Company which is a party to the Consent and Acknowledgment, dated the Second Restatement Date, as to the incumbency and signature of the officers of such Subsidiaries executing the Consent and Acknowledgment, reasonably satisfactory in form and substance to the Administrative Agent.
Subsidiary Incumbency Certificates. The Administrative Agent ---------------------------------- shall have received, with a photocopy for each Lender, a certificate of each Subsidiary of the Borrower which is a Credit Party, dated the Closing Date, as to the incumbency and signature of the officers of such Subsidiaries executing any Credit Document, reasonably satisfactory in form and substance to the Administrative Agent, executed by a Responsible Officer and the Secretary or any Assistant Secretary of each such Subsidiary.
Subsidiary Incumbency Certificates. Certificate of an Authorized Officer of each of CLCQ and Delta College, as to the incumbency and signature of the Authorized Officer of CLCQ and Delta College executing any Credit Document as described in Subsection 5.2(c) of the Amended and Restated Credit Agreement dated December 31, 1999, satisfactory in form and substance to the Lender and its counsel, duly executed by the Authorized Officers of CLCQ and Delta College.
Subsidiary Incumbency Certificates. The Administrative Agent shall have received, with a counterpart for each Lender, a certificate of each Subsidiary of the Borrower (including, without limitation, any Person becoming a Subsidiary as a result of the O'Gara Acquisition) which is or will be a Loan Party, dated the Amended and Restated Closing Date, as to the incumbency and signature of the officers of such Subsidiaries executing any Loan Document or Amended and Restated Document, reasonably satisfactory in form and substance to the Administrative Agent, executed by the President or any Vice President and the Secretary or any Assistant Secretary of each such Subsidiary.

The Administrative Agent shall have received, with a copy for each Lender, a certificate of each Subsidiary of HCNA (other than the Borrowers) which is a Loan Party, dated the Closing Date, as to the incumbency and signatures of the officers of such Subsidiaries executing any Loan Document, reasonably satisfactory in form and substance to the Administrative Agent, executed by the President or any Vice President and the Secretary or any Assistant Secretary of each such Subsidiary.
