SUBSTITUTION AND ASSUMPTION. On execution of this Certificate by the Facility Agent (on behalf of the Transferor and the Transferee), the Transferee will become a party to the Facilities Agreement on and with effect from the Transfer Date in substitution for the Transferor in relation to those rights and obligations which, by the terms of the Facilities Agreement and this Certificate, are assumed by the Transferee. A copy of this Certificate shall be notified (at the initiative and cost of the Transferee) to each Obligor through a French huissier and the Transferee shall benefit from all of the Transferor's rights under the Security Documents with respect to the Transfer Rights. For the purposes of article 1278 of the French Civil Code, the guarantees and Security Interests created under any of Senior Finance Documents shall be preserved for the benefit of all Finance Parties including the Transferee.

SUBSTITUTION AND ASSUMPTION. (a) Subject to the terms and conditions hereof, as of the effective date , the Parties agree that (i) the Company shall make all payments pursuant to the Tax Receivable Agreement otherwise due to Holdings or MNCC in connection with the 2011 Exchange, 2014 Exchange and 2021 Exchange to the MNCC Payees, the MNA Payees, and the 2014 Holdings Payee as applicable, (ii) as a result, the Company shall have no obligation to make payments to Holdings or MNCC pursuant to the Tax Receivable Agreement, and Holdings, MNCC and MNA, as applicable, shall have no obligation to make the 2011, 2014, or 2021 Holdings Tax Receivable Payments to MNA or the 2014 Holdings Payee, as applicable, the 2021 MNCC Tax Receivable Payments to the 2021 MNCC Payees or the MNA Tax Receivable Payments to the MNA Payees, as applicable, and (iii) Schedule A hereto sets forth the 2014 Holdings Payee, the 2021 MNCC Payees, and the MNA Payees and their corresponding interest in future payments to be made by the Company pursuant to the Tax Receivable Agreement in connection with the 2011 Exchange, 2014 Exchange and 2021 Exchange.

  • Transfer and Assumption (a) Subject to obtaining Lender's prior written consent, which may be withheld in Lender's reasonable and absolute discretion, and subject to the terms and satisfaction of all of the conditions precedent set forth in this Section 5.26.3, Borrowers shall have a one-time right to Transfer the Property to one or more parties (the "TRANSFEREE BORROWER") and have the Transferee Borrower assume all of Borrowers' obligations under the Loan Documents, and have replacement guarantors and indemnitors assume all of the obligations of the indemnitors and guarantors of the Loan Documents (collectively, a "TRANSFER AND ASSUMPTION"). Borrowers may make a written application to Lender for Lender's consent to the Transfer and Assumption, subject to the conditions set forth in paragraphs (b) and (c) of this Section 5.26.3. Together with such written application, Borrowers will pay to Lender the reasonable review fee then required by Lender. Borrowers also shall pay on demand all of the reasonable costs and expenses incurred by Lender, including reasonable attorneys' fees and expenses, and including the fees and expenses of Rating Agencies and other outside entities, in connection with considering any proposed Transfer and Assumption, whether or not the same is permitted or occurs.

  • Acceptance and Assumption Assignee hereby accepts the foregoing assignment and further hereby assumes and agrees to perform, from and after January 1, 2002, all duties, obligations and responsibilities of the property manager arising under the Agreement.
