Common use of Success Upon the Merits Clause in Contracts

Success Upon the Merits. To the extent an Agent of the Company has been successful on the merits in defense of any Proceeding (whether or not by or in the right of the Company) or in defense of any claim, issue or matter therein, the Company shall indemnify such Agent against any and all expenses reasonably and actually incurred by such Agent in connection therewith.
