Common use of Successful Respondent Response to External Audits Clause in Contracts

Successful Respondent Response to External Audits. If an audit by a governmental body, standards organization, or regulatory authority having jurisdiction over DIR, a DIR Customer or Successful Respondent results in a finding that Successful Respondent is not in compliance with any applicable Law or standard, including any generally accepted accounting principle or other audit requirement relating to the performance of its obligations under this Agreement, Successful Respondent shall, if and to the extent such audit deficiency or finding of non-compliance results from Successful Respondent’s failure to comply with its obligations under this Agreement, at its own expense and within the time period specified by such auditor, address and resolve the deficiency(ies) identified by such audit governmental body, standards organization or regulatory authority, in the manner approved by DIR, to the extent necessary to comply with Successful Respondent’s obligations under this Agreement.
