Client Responsibility. For clarity, the parties agree that in reviewing the documents referred to in clause (b) above, Patheon’s role will be limited to verifying the accuracy of the description of the work undertaken or to be undertaken by Patheon. Subject to the foregoing, Patheon will not assume any responsibility for the accuracy of any application for receipt of an approval by a Regulatory Authority. The Client is solely responsible for the preparation and filing of the application for approval by the Regulatory Authority and any relevant costs will be borne by the Client.
Client Responsibility. Client acknowledges and agrees that it is solely responsible for the content of its transmissions which pass through the Services. Client also agrees it will not use the Services:
(a) for illegal purposes;
(b) to transmit threatening, obscene or harassing materials, or
(c) to interfere with or disrupt other network users, network services or network equipment.
Client Responsibility. For clarity, the parties agree that in reviewing the documents referred to in paragraphs (b) and (c) above, Patheon’s role will be limited to verifying the accuracy of the description of the work undertaken or to be undertaken by Patheon. As such, Patheon shall not assume any responsibility for the accuracy of the NDA or the ANDA, as the case may be. The sole responsibility of the preparation and filing of the NDA shall be borne by the Client.
Client Responsibility. Client acknowledges and agrees they bear all liability for their end users’ activity on IWT’s systems. Client represents and warrants that any data loaded into IWT’s systems by Client’s end users will not infringe the intellectual property rights of any third party. Client acknowledges that IWT may, in appropriate circumstances and at its discretion, disable Client’s access or terminate this Agreement for violations of this provision. Client will be solely responsible for bearing any and all costs of obtaining any required third-party licenses for data loaded into IWT’s systems by Client’s end users.
Client Responsibility. Client shall perform the responsibilities necessary to establish Client's use of the Licensed Product(s) and/or Services, including (i) providing Client Personnel lists to setup User IDs,
Client Responsibility. (i) assumes full responsibility for any decision in relation to which any data provided to the Client by way of a Trading Platform may be used or relied upon;
(ii) will make its own independent decision to access or use a Trading Platform or to enter into any Transaction; and
(iii) acknowledges and agrees that no Trading Platform serves as the primary basis for any of the Client’s investment decisions concerning its accounts or its managed or fiduciary accounts;
Client Responsibility. Client acknowledges that the achievement of any policy, process, model, system or risk management practice depends not only on the design and implementation, but also on the quality, experience and continuity of personnel involved, the diligent ongoing execution of any such policy, process, model, system or risk management practice, and appropriate modifications as changing conditions warrant. Client understands and accepts responsibility for a ll decisions related to, and implementation and ongoing modification of, policies, processes, models, systems and risk management practice assessments, methods and assumptions, if any, developed in the course of this project. All Deliverables are based upon information made available by Client to Protiviti as of the date such Deliverables are provided to Client. Protiviti has no obligation to update any Deliverable. In addition, the ultimate responsibility as to the accuracy and sufficiency of Protiviti’s approach and the specific scope of Protiviti’s work and the nature, extent and timing of Protiviti’s procedures performed, in each case, rests with Client.
Client Responsibility. Client agrees to act in a responsible manner and shall abide by the rules and regulations that govern the location where the Training is provided. Client must bring its own electronic appliances required for the Training, e.g. laptop.
Client Responsibility. The Client understands that any and all suggestions, opinions or advice given to the Client by TCC are advisory only and the ultimate responsibility, liability and decision regarding any action(s) taken or filings made lies solely with the Client and not with the TCC.
Client Responsibility. Client shall be responsible for ensuring that MPMS is provided with all necessary records and information from which to submit the claim and shall reasonably cooperate with MPMS as may be necessary to permit MPMS to perform its duties hereunder. Clients shall also be responsible for ensuring the accuracy and completeness of all coding associated with claims and for ensuring the medical necessity and appropriateness of the services for which a xxxx will be submitted. MPMS shall have no liability or responsibility whatsoever regarding the accuracy or completeness of the coding or determinations regarding medical necessity.
