Sufficiency of Grants. As far as Xenova is aware (but without necessarily having conducted any searches or investigations), and except as set forth on EXHIBIT C hereto, no further rights of Xenova other than those granted to QLT hereunder are required for and no third party patent or other proprietary right would be infringed by the development and commercialization of the Drug or the Product in the Territory as contemplated by this Agreement.

Sufficiency of Grants. As far as Xenova is aware (but without necessarily having conducted any searches or investigations), and except as set forth on EXHIBIT 12.1(c), (A) there are no Intellectual Property rights owned or controlled by Xenova as of the Effective Date related to the Drug and/or the Product or the use thereof, that are necessary or useful to permit QLT to perform the Program to completion and to perform the manufacturing, marketing, supply and other commercialization activities contemplated by this Agreement for the Drug and/or the Product in the Territory, other than those granted to QLT under this Agreement, and (B) no Third Party Patent or other proprietary right would be infringed by the development, manufacturing, marketing, supply and other commercialization activities for the Drug and/or the Product in the Territory as contemplated by this Agreement;
Sufficiency of Grants. As of the Effective Date, to RGX’s knowledge [***], no Third Party Patent or other proprietary right would be infringed by the development, manufacturing, marketing, supply and other commercialization activities for any Collaboration Product in the Field in the Territory as contemplated by this Agreement.   • Sufficiency of Consideration Executive hereby acknowledges and agrees that Executive has received good and sufficient consideration for every promise, duty, release, obligation, agreement and right contained in this Release.

  • Sufficiency of Funds Buyer has sufficient cash on hand or other sources of immediately available funds to enable it to make payment of the Purchase Price and consummate the transactions contemplated by this Agreement.

The assets (including Intellectual Property rights and contractual rights) of the Target Companies constitute all of the material assets, rights and properties that are currently used in the operation of the businesses of the Target Companies as it is now conducted or that are used or held by the Target Companies for use in the operation of the businesses of the Target Companies, and taken together, are adequate and sufficient for the operation of the businesses of the Target Companies as currently conducted.

  • Adequacy of Consideration Executive acknowledges and agrees that Executive has received adequate consideration from United HealthCare to enter into this Agreement.

  • Frequency of Evaluation Long form employees shall be evaluated at least one (1) time each year, which evaluation shall be completed no later than June 1.

  • Form and Sufficiency of Release In the event that the Company or any Guarantor has sold, exchanged, or otherwise disposed of or proposes to sell, exchange or otherwise dispose of any portion of the Collateral that may be sold, exchanged or otherwise disposed of by the Company or any Guarantor to any Person other than the Company or a Guarantor, and the Company or any Guarantor requests in writing that the Noteholder Collateral Agent furnish a written disclaimer, release or quit-claim of any interest in such property under this Indenture and the Collateral Agreements, the Noteholder Collateral Agent shall execute, acknowledge and deliver to the Company or such Guarantor (in proper form prepared by the Company or such Guarantor) such an instrument without representation or warranty promptly after satisfaction of the conditions set forth herein for delivery of any such release. Notwithstanding the preceding sentence, all purchasers and grantees of any property or rights purporting to be released herefrom shall be entitled to rely upon any release executed by the Noteholder Collateral Agent hereunder as sufficient for the purpose of this Indenture and as constituting a good and valid release of the property therein described from the Lien of this Indenture or of the Collateral Agreements.
