Sufficiency of the Contribution Documents. The Contribution Documents were or will be legally sufficient to transfer or convey to, or vest in, the Partnership Entities satisfactory title to, or valid rights to use or manage, all properties not already held by them that are, individually or in the aggregate, required to enable the Partnership Entities to conduct their operations (including the Contributed Business) in all material respects as contemplated by the Registration Statement, the Disclosure Package and the Prospectus, subject to the conditions, reservations, encumbrances and limitations described therein or contained in the Operative Agreements. The Partnership Entities, upon execution and delivery of the Contribution Documents, will succeed in all material respects to the business, assets, properties, liabilities and operations of the Contributed Business.
Sufficiency of the Contribution Documents. The Contribution Documents will be legally sufficient (i) to transfer or convey to the Partnership all equity interests in the Initial Operating Subsidiaries as contemplated by the Pricing Disclosure Package and the Prospectus and (ii) to transfer or convey to the applicable Subsidiaries all properties not already held by them that are, individually or in the aggregate, required to enable the Initial Operating Subsidiaries to conduct their operations in all material respects as contemplated by the Pricing Disclosure Package and the Prospectus, in each case subject to the conditions, reservations and limitations contained in the Contribution Documents and those set forth in the Pricing Disclosure Package and the Prospectus. The Operating Partnership and the Subsidiaries, as the case may be, upon execution and delivery of the Contribution Documents, will succeed in all material respects to the business, assets, properties, liabilities and operations reflected by the pro forma financial statements of the Partnership, except as disclosed in the Prospectus and the Contribution Documents.
Sufficiency of the Contribution Documents. The Contribution Documents will be legally sufficient to transfer or convey to, or to vest in, the Partnership all of the equity interests in Rice Poseidon to the Partnership and all of the right, title and interest of the transferor stated therein and to the ownership interests, assets and rights purported to be transferred thereby, as contemplated by the Registration Statement and the most recent Preliminary Prospectus, subject to the conditions, reservations, encumbrances and limitations contained in the Contribution Documents and described in the Registration Statement and the most recent Preliminary Prospectus. Except as described in the Registration Statement and the most recent Preliminary Prospectus, the Partnership, upon consummation of the transactions contemplated by the Contribution Documents, will directly or indirectly succeed in all material respects to the business, assets, properties, liabilities and operations of the business reflected in the pro forma financial statements of the Partnership included in the Registration Statement and the most recent Preliminary Prospectus.

The Contribution Documents were or will be legally sufficient to transfer or convey to the Partnership, the Operating Partnership and to the Operating Subsidiaries satisfactory title to, or valid rights to use or manage, all properties not already held by them that are, individually or in the aggregate, required to enable the Partnership, the Operating Partnership and the Operating Subsidiaries to conduct their operations (in all material respects as contemplated by the Prospectus), subject to the conditions, reservations and limitations contained in the Contribution Documents and those set forth in the Prospectus, and all third party consents required to effect such transfers and conveyances have been obtained or will be obtained by the First Delivery Date other than any consent which, if not obtained, would not have a Material Adverse Effect. The Partnership, the Operating Partnership and each Operating Subsidiary, as the case may be, upon execution and delivery of the Contribution Documents, succeeded or will succeed in all material respects to the business, assets, properties, liabilities and operations reflected by the pro forma financial statements of the Partnership included in the Prospectus, except as disclosed in the Prospectus and the Contribution Documents.

The Contribution Documents will be legally sufficient to transfer or convey to the Operating LP all properties not already held by it that are, individually or in the aggregate, required to enable the Operating LP to conduct its operations in all material respects as contemplated by the most recent Preliminary Prospectus and the Prospectus, subject to the conditions, reservations, encumbrances and limitations contained in the Contribution Documents and those set forth in most recent Preliminary Prospectus and the Prospectus. The Operating LP, upon execution and delivery of the Contribution Documents, will succeed in all material respects to the business, assets, properties, liabilities and operations reflected by the pro forma financial statements of the Partnership.

The Contribution Documents will be legally sufficient to transfer or convey to the Company and its subsidiaries satisfactory title to, or valid rights to use or manage, all properties not already held by them that are, individually or in the aggregate, required to enable the Company and its subsidiaries to conduct their operations in all material respects as contemplated by the Registration Statement, the Pricing Disclosure Package and the Prospectus, subject to the conditions, reservations, encumbrances and limitations contained in the Contribution Documents. The Company, upon consummation of the transactions under the Contribution Agreement, will succeed in all material respects to the business, assets, properties, liabilities and operations reflected in the pro forma financial statements of the Company.

The Partnership, upon execution and delivery of the Contribution Documents will succeed in all material respects to the EPD Assets and the remaining 90.1% membership interest in EPD GP as reflected in the pro forma consolidated financial statements of the Partnership included in the Prospectus, except as disclosed in the Prospectus and the Contribution Agreement.

The Partnership Entities, upon execution and delivery of the Contribution Documents, succeeded in all material respects to the business, assets, properties, liabilities and operations of the Contributed Business.
Sufficiency of the Contribution Documents. The Contribution Documents will be legally sufficient to transfer or convey to the Company, directly or indirectly, good title to all of the outstanding member interests in the Operating LLC and the Subsidiaries. Upon execution and delivery of the Contribution Documents by the parties thereto, the Company will succeed, indirectly through the Operating LLC and the Subsidiaries, in all material respects to the business, assets, properties, partnership interests, liabilities and operations as reflected in the pro forma financial statements of the Company included in the Registration Statement, the Preliminary Prospectuses and the Prospectus.

The Partnership and its subsidiaries, upon execution and delivery of the Contribution Documents, will succeed in all material respects to the business, assets, properties, liabilities and operations reflected in the pro forma financial statements of CDM Resource Management Predecessor (as defined in the most recent Preliminary Prospectus), except as disclosed in the Prospectus and the Contribution Documents.
