SUNSTAR TRANSFER. If the SunStar Transfer does not to occur by March 31, 2000, execute and deliver a pledge agreement in favor of Agent covering all of the SunStar Capital Stock and cause SunStar to execute and deliver a guaranty of Borrower's Obligations and a security agreement covering the Property of SunStar to secure its obligations under such guaranty, in favor of Agent guarantying payment and performance in full of Borrower's Obligations, each in form and substance reasonably satisfactory to Agent and each on or before April 30, 2000.

SUNSTAR TRANSFER the sale, assignment or transfer by Borrower of all of the SunStar Capital Stock or (ii) the sale, assignment or transfer by SunStar of substantially all of its assets followed immediately by either the dissolution of SunStar or the sale, assignment or transfer by Borrower of all of the SunStar Capital Stock to another Person.
