Supplier Products. ‌ 5.1 Cimple is not a broker or offeror of Supplier Products and is not responsible for providing any options displayed on the Cimple Platform or for setting or controlling the prices or other Supplier Product terms displayed on the Cimple Platform. 5.2 Cimple does not undertake any vetting, review or quality management of Suppliers or Supplier Products prior to such products being offered for sale on the Cimple Platform and any Suppliers who offer Supplier Products for sale or any display of Supplier Products on the Cimple Platform does not constitute a recommendation or endorsement by Cimple, its directors, employees, agents or subcontractors of either such Supplier or such Supplier Products. 5.3 Cimple does not guarantee that all of the Supplier Products on the Cimple Platform are in stock and are immediately available for Buyers to purchase. 5.4 Pictures and images of Supplier Products shown on the Cimple Platform are for illustrative purposes. The Supplier alone is responsible for the description of the Supplier Products and for any images or other information provided or posted by the Supplier on the Cimple Platform. 5.5 Cimple makes efforts to avoid and to fix any technical issues that may limit Buyers’ ability to use the functionalities offered through the Cimple Platform. However, such technical failures may occur and Cimple does not represent or warrant that Buyers’ access to or use of the Cimple Platform will be uninterrupted or error free or that all functionalities will always be fully operational. 5.6 In operating the Cimple Platform, Cimple is not engaged in offering, selecting or approving of products or services advertised, represented, referred to or offered for sale by Suppliers on the Cimple Platform and it will not be liable if Supplier Products procured through the Cimple Platform are not suitable for Buyer’s needs. 5.7 Supplier Products are offered for sale on the relevant Supplier’s terms and conditions and subject to such disclaimers, notices or warnings that Suppliers may communicate to or agree with Buyers. Quotes, offers or estimates given by Suppliers may be based on a set of assumptions. Buyers should ensure that they understand the Supplier’s applicable terms and conditions and be aware that such quotes, offers or estimates are typically affected by market movements and may change substantially before the Supplier enters into any Contract with the Buyer. 5.8 Not all products or services shown on the Cimple Platform are suitab...

Supplier Products. Through OPUS, third-party suppliers (“Suppliers”) may make certain goods and services available for purchase (the “Products”) and may also make available data and information (including product descriptions, catalog numbers, availability information, text documents, graphical images and trademarks, and pricing) and the catalog listing of detailed product information, manufacturer part numbers and services descriptions relating to Suppliers’ Products offered (the “Supplier Product Data”). You acknowledge and agree that Supplier Product Data is provided “AS IS”. OMNIA Partners disclaims any and all liability or responsibility with respect to, and Supplier is solely responsible for: (i) Supplier Product Data, including the accuracy and content therein; and (ii) the processing and fulfilling of Product orders placed by you through OPUS or information that you provide to Supplier, including all any and all actions taken by Supplier with respect to OPUS and any Product orders placed through OPUS, including but not limited to Suppliers’ customer service or return-related obligations. The pricing and availability of the Products is subject to change at any time as updated by a Supplier, subject to your agreement with such Supplier.
