Supply of Services. 5.1 In consideration of UKRI’s agreement to pay the Charges, the Supplier shall for the Contract Term provide the Services to UKRI in accordance with the terms of this Agreement and any Contract. 5.2 The Supplier shall meet any performance dates for the Services (including the delivery of Deliverables) specified in the Specification or notified to the Supplier by UKRI. 5.3 In providing the Services, the Supplier shall: (a) co-operate with UKRI in all matters relating to the Services, and comply with all instructions of UKRI using reasonable endeavours to promote UKRI’s interests; (b) perform the Services with reasonable skill, care and diligence in accordance with Good Industry Practice in the Supplier’s industry, profession or trade; (c) use Staff who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's obligations are fulfilled in accordance with this Agreement and any Contract; (d) ensure that the Services and Deliverables will conform with the Specifications and that the Deliverables shall be fit for any purpose expressly or impliedly made known to the Supplier by UKRI; (e) provide all equipment, tools and vehicles and such other items as are required to provide the Services; (f) use goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to UKRI are of a quality in line with Good Industry Practice and are free from defects in workmanship, installation and design; (g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulations; (h) not do or allow anything to be done that would, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any way; (i) observe all health and safety rules and regulations and any other security requirements that apply at any of UKRI’s premises; and (j) not do or omit to do anything which may cause UKRI to lose any licence, authority, consent or permission on which it relies for the purposes of conducting its business, and the Supplier acknowledges that UKRI may rely or act on the Services. 5.4 UKRI’s rights under this Agreement and any Contract are without prejudice to and in addition to the statutory terms implied in favour of UKRI under the Supply of Goods and Services Act 1982 and any other applicable legislation as amended.

(h) not do or allow anything to be done that would, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any way;
(ij) observe all health and safety rules and regulations and any other security requirements that apply at any of UKRIthe Customer’s premises;
k) hold all materials, equipment, tools, software, drawings, specifications and data supplied by the Customer to the Supplier and any updates thereto (“Customer Materials”) in safe custody at its own risk, maintain the Customer Materials in good condition until returned to the Customer, and not dispose or use the Customer Materials other than for the purposes of the provision of the Services and in accordance with the Agreement and the Customer’s written instructions or authorization; andl) inform the Customer promptly if, in its opinion, changes to the services which would result in improvements are possible;
(jm) not do or omit to do anything which may cause UKRI the Customer to lose any licencelicense, authority, consent or permission on upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that UKRI the Customer may rely or act on the Services; and n) comply with any Service Levels set forth in the SoW.
4.3. In the event the Customer for any reason determines, acting reasonably, that any Personnel used by Supplier to deliver the Services are not suitable, it shall notify Supplier and Supplier shall promptly replace such Personnel.
5.4 UKRI4.4. Unless expressly agreed otherwise, the Supplier shall keep the Customer informed about the progress of the services carried out on behalf of the Customer.
4.5. If the Customer requests a change to the scope or execution of the Services, Supplier shall, within a reasonable time, provide a written estimate to the Customer of:
a) the likely time required to implement the change;
b) any variations to Supplier’s rights charges arising from the change;
c) the likely effect of the change on the applicable SoW; and
d) any other impact of the change on the terms of the Agreement; and any such change shall not take effect until the parties have agreed an amendment to this Agreement in accordance with clause 15.8 to incorporate the necessary variations to the charges, the relevant Statement of Work and any other relevant terms of the Agreement to take account of the change.
4.6. In the event Supplier processes, uses, stores and/or transmits any data of Customer and/or its customers in the provision of the Services it shall do so only for the purposes of its performance of the Services under and in accordance with this Agreement and any Contract are without prejudice to Annex B and at all times maintain administrative, physical, and technical safeguards for the protection, security, availability, integrity and confidentiality of such data in addition to the statutory terms implied accordance with good industry practice and applicable laws and regulations. Supplier shall further only process personal data (as defined in favour Annex B) of UKRI under the Supply of Goods Customer and/or its customers in accordance with Customer’s instructions, Applicable Data Protection Laws, and Services Act 1982 and any other applicable legislation as amended.Annex B.

5.2 The Supplier shall meet any performance dates for the Services (including the delivery of Deliverables) specified in the Specification Order or notified that the Customer notifies to the Supplier by UKRIand time is of the essence in relation to any of those performance dates.
5.3 In providing the Services, the Supplier shall:
(a) co-operate with UKRI the Customer in all matters relating to the Services, provide all information requested by the Customer in full and in good time and comply with all instructions of UKRI using reasonable endeavours to promote UKRI’s intereststhe Customer;
(b) perform the Services with reasonable skillthe best care, care skill and diligence in accordance with Good Industry Practice best practice in the Supplier’s industry, profession or trade;
(c) use Staff personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's ’s obligations are fulfilled in accordance with this Agreement the Contract and any Contractensure that all such personnel have the right to work in the jurisdiction(s) in which they are engaged;
(d) ensure that the Services and Deliverables will conform with all descriptions and specifications set out in the Specifications Service Specification, and that the Deliverables shall be fit for any purpose that the Customer expressly or impliedly made makes known to the Supplier by UKRISupplier;
(e) provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) use the best quality goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to UKRI are of a quality in line with Good Industry Practice and are the Customer, will be free from defects in workmanship, installation and design;
(g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulationsconsents which may be required for the provision of the Services;
(h) not do comply with all applicable laws, regulations, regulatory policies, guidelines or allow anything industry codes which may apply to be done that would, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any waythe provision of the Services from time to time;
(i) observe all health and safety rules and regulations and any other security requirements that may apply from time to time at any of UKRIthe Customer’s premises; andpremises or of any third party if delivery to there is made;
(j) hold all materials, equipment and tools, drawings, specifications and data supplied by the Customer to the Supplier (Customer Materials) in safe custody at its own risk, maintain the Customer Materials in good condition until returned to the Customer, and not dispose of, or use, the Customer Materials other than in accordance with the Customer’s written instructions or authorisation;
(k) not do or omit to do anything which may cause UKRI the Customer to lose any licence, authority, consent or permission on upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that UKRI the Customer may rely or act on the Services;
(l) comply with any additional obligations as set out in the Service Specification;
(m) to the extent that it has been agreed between the parties that specific employees shall be engaged in the delivery of the Services such employees shall not be removed from providing the Services without the prior consent of the Customer (such consent not to be unreasonably withheld or delayed); and
(n) at the request of the Customer the Supplier shall remove any employee or employees from the provision of the Services and replace them with similarly skilled and experienced employees provided always that such request from the Customer is reasonable.
5.4 UKRI’s rights under this Agreement and To the extent that the Services requires the Supplier to store any Contract are without prejudice information of the Customer on its IT systems or use such IT systems to create any Deliverable and/or Goods the Supplier shall take all appropriate measures to protect such information (both in storage and in addition transit) against any loss, corruption, infection or unauthorised access and shall report to the statutory terms implied in favour Customer any such loss, corruption, infection or unauthorised access as soon as the Supplier becomes aware of UKRI under the Supply same. To the extent that the Supplier performs the Services which involves it accessing the IT systems of Goods the Customer it shall comply with the provisions of the “IT and Services Act 1982 and any other applicable legislation Information Security at Vaillant Group – Information for Externals” policy (as amendedmay be amended from time to time).

(g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulations;
(h) not do or allow anything to be done that would, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any way;
(i) observe all health and safety rules and regulations and any other security requirements that apply at any of UKRI’s premises; and
(j) not knowingly do or omit to do anything which may cause UKRI to lose any licence, authority, consent or permission on which it relies for the purposes of conducting its business, and the Supplier acknowledges that UKRI may rely or act on the Services.

5.2 The Supplier shall meet any performance dates for the Services (including the delivery of Deliverables) specified in the Specification or notified to the Supplier by UKRI.
5.3 4.3 In providing the Services, the Supplier shallundertakes that it must:
(a) obtain and at all times maintain all necessary licenses, consents and permissions;
b) co-operate fully with UKRI the EPA in all matters relating to the Services, and comply with all instructions of UKRI using reasonable endeavours to promote UKRI’s interests;
(bc) perform not interfere with the Services with reasonable skill, care and diligence in accordance with Good Industry Practice in EPA’s activities or those of the SupplierEPA’s industry, profession other suppliers or tradecontractors;

(e) provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) use goodsensure all written information provided in connection with the Services and Deliverables is accurate and comprehensive in all material respects; g) comply at all times with the EPA’s health and safety, materials, security standards and techniques, site procedures and ensure that any lawful instructions and other policies or guidelines issued by the Deliverables, and all goods and materials supplied and used in EPA from time to time; and
h) co-operate fully with other suppliers who provide other services to the EPA.
4.4 The Supplier must provide the Services or transferred to UKRI are of a quality in line with Good Industry Practice and are free any service levels or key performance indicators agreed between the parties from defects in workmanship, installation and design;time to time.
(g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulations;
(h) not do or allow anything to be done that would, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any way;
(i) observe all health and safety rules and regulations and 4.5 Notwithstanding any other security requirements that apply at term of this Agreement, the Consultant shall exercise all reasonable skill and care in the performance of the Services and shall not be subject to any of UKRI’s premises; and
(j) not do or omit to do anything which may cause UKRI to lose any licence, authority, consent or permission on which it relies fitness for purpose obligation unless expressly agreed between the purposes of conducting its business, and the Supplier acknowledges that UKRI may rely or act on the Servicesparties.

5.3 In providing the Services, the Supplier shall:
(a) co-operate with UKRI the Client in all matters relating to the Services, and comply with all instructions of UKRI using reasonable endeavours to promote UKRI’s intereststhe Client;
(b) perform the Services with reasonable skillthe best care, care skill and diligence in accordance with Good Industry Practice best practice in the Supplier’s 's industry, profession or trade;
(c) use Staff personnel who are suitably skilled and experienced to perform tasks assigned to them, and in sufficient number to ensure that the Supplier's obligations are fulfilled in accordance with this Agreement and any the Contract;
(d) ensure that the Services and Deliverables will conform with all descriptions and specifications set out in the Specifications Service Specification, and that the Deliverables shall be fit for any purpose that the Client expressly or impliedly made makes known to the Supplier by UKRISupplier;
(e) provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) use the best quality goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to UKRI are of a quality in line with Good Industry Practice and are the Client, will be free from defects in workmanship, installation and design;
(g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulationsconsents which may be required for the provision of the Services;
(h) not do comply with all applicable laws, regulations, regulatory policies, guidelines or allow anything industry codes which may apply to be done that wouldthe provision of the Services, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any wayand with the Mandatory Policies;
(i) observe all health and safety rules and regulations and any other security requirements that apply at any of UKRI’s the Client's premises; and;
(j) hold all materials, equipment and tools, drawings, specifications and data supplied by the Client to the Supplier (Client Materials) in safe custody at its own risk, maintain the Client Materials in good condition until returned to the Client, and not dispose or use the Client Materials other than in accordance with the Client's written instructions or authorisation;
(k) not do or omit to do anything which may cause UKRI the Client to lose any licence, authority, consent or permission on upon which it relies for the purposes of conducting its business, and the Supplier acknowledges that UKRI the Client may rely or act on the Services;
(l) comply with any additional obligations as set out in the Service Specification;
(m) at all times comply with and process and hold data in accordance with the provisions of the Data Protection Xxx 0000, the General Data Protection Regulations and the Client’s Privacy Policy, Privacy Code of Conduct and GDPR Data Processing Policy;
(n) where possible or required by the Client, ensure that its staff, vehicles, buildings and equipment utilised in providing the Services are appropriately accredited in accordance with Restore’s own accreditations.
5.4 UKRI’s rights Where the Supplier is providing services, which consist of property maintenance and/or construction works, the Supplier warrants and undertakes that it will comply with the provisions of Schedule 2 of these terms and conditions.
5.5 Where the Supplier is providing courier or similar/related services, the Supplier warrants and undertakes that it will comply with the provisions of Schedule 3 of these terms and conditions.
5.6 The Supplier warrants that it complies fully with its obligations under this Agreement and any Contract are the Modern Slavery Xxx 0000. In particular, but without prejudice to the generality of the foregoing, the Supplier warrants:
(a) it has taken all reasonable measures to prevent modern slavery and human trafficking in addition its supply chain;
(b) it does not source goods or provide services that use modern slavery or human trafficking;
(c) it has an effective programme in place to ensure modern slavery and human trafficking do not occur in its operations and supply chain;
(d) it has read, understood and complies with the Client’s Modern Slavery and Human Trafficking Policy.
5.7 The supplier warrants that it will adhere to all government advice and best practise relating to the statutory terms implied outbreak of Coronavirus (now referred to as COVID-19), or any subsequent infectious diseases, in favour taking the necessary hygiene measures and other preventative precautions to minimise the risks that would put the safety and well-being of UKRI under the Supply of Goods client, the clients customers and Services Act 1982 and any other applicable legislation as amendedyour organisation in jeopardy.

Supply of Services. 5.1 In consideration of UKRI’s agreement to pay the Charges, the 4.1 The Supplier shall for the Contract Term provide the Services to UKRI the Customer in accordance with the terms of this Agreement and any Contract.
5.2 Agreement. The Supplier shall meet any performance dates for the Services (including the delivery of Deliverables) specified in the Specification Purchase Order or notified in writing to the Supplier by UKRIthe Customer and time shall be of the essence.

(d) ensure that the Services and Deliverables will conform with all descriptions and specifications set out in the Specifications Specification (and in the absence of such specification will comply with applicable British Standards), and that the Deliverables shall be fit for any purpose expressly or impliedly made known to the Supplier by UKRIthe Customer;
(e) provide all equipment, tools and vehicles and such other items as are required to provide the Services;
(f) use the best quality goods, materials, standards and techniques, and ensure that the Deliverables, and all goods and materials supplied and used in the Services or transferred to UKRI are of a quality in line with Good Industry Practice and are the Customer, will be free from defects in workmanship, installation and design;
(g) obtain and at all times maintain all necessary licences and consents, and comply with all applicable laws and regulationsApplicable Laws;
(h) not do or allow anything to be done that would, or would be likely to, bring UKRI into disrepute or adversely affect its reputation in any way;
(i) observe all health and safety rules and regulations and any other security requirements that apply at any of UKRI’s the Customer's premises;
(i) hold all materials, equipment and tools, drawings, specifications and data supplied by the Customer to the Supplier (“Customer Materials”) in safe custody at its own risk, maintain the Customer Materials in good condition until returned to the Customer, and not dispose of or use the Customer Materials other than in accordance with the Customer's written instructions or authorisation; and
(j) not do or omit to do anything which may cause UKRI the Customer to lose any licence, authority, consent or permission on which it relies for the purposes of conducting its business, and the Supplier acknowledges that UKRI the Customer may rely or act on the Services.
5.4 UKRI’s rights under this Agreement and any Contract are without prejudice 4.3 If the Supplier fails to and perform the Services by the due date specified in addition the Purchase Order or notified in writing to the statutory terms implied Supplier by the Customer, the Customer shall, without limiting its other rights or remedies, have one or more of the following rights:
(a) to terminate the Agreement with immediate effect by giving written notice to the Supplier;
(b) to refuse to accept any subsequent performance of the Services which the Supplier attempts to make;
(c) to recover from the Supplier any costs incurred by the Customer in favour of UKRI under obtaining substitute services from a third party;
(d) where the Supply of Goods and Customer has paid in advance for Services Act 1982 and that have not been provided by the Supplier, to have such sums refunded by the Supplier; and/or
(e) to claim damages for any other applicable legislation as amendedadditional costs, losses or expenses incurred by the Customer which are in any way attributable to the Supplier's failure to meet such date.
