Survival and Conflict. The Lease shall remain in full force and effect, fully binding on Landlord and Tenant and unmodified except as expressly provided herein. In the event of any conflict between the terms of the Lease and the terms of this Amendment, the terms of this Amendment shall govern.
Survival and Conflict. Notwithstanding any provision of this Agreement to the contrary, the obligations set forth in Article XIV shall survive Closing for the applicable statute of limitations plus 90 days. Further, in the event of a conflict between the provisions of this Article XIV and any other provision of this Agreement, this Article XIV shall control.

Notwithstanding any other provision of this Agreement to the contrary, the obligations of the Parties hereto set forth in this Section 6.6 will survive until thirty (30) days following the expiration of the applicable Tax statute of limitations date, and will not be subject to any limitations, conditions or requirements contained in other Sections of this Agreement; provided, however, that written notice of a Claim specifying in reasonable detail the specific nature of the disputed taxes (“Tax Dispute”) delivered in good faith and received within thirty (30) days following the expiration of the applicable Tax statute of limitations date shall survive until the earlier to occur of (A) the date on which a final non-appealable resolution of the matter described in such Tax Dispute has been reached or (B) the date on which the matter described in such Tax Dispute has otherwise reached final resolution. Further, in the event of a conflict between the provisions of this Section 6.6 and any other provision of this Agreement, this Section 6.6 will prevail.
Survival and Conflict. The obligations set forth in Section 7.1(b) shall survive Closing for a period of [Omitted]; provided, however, that with respect to [Omitted], [Omitted] shall survive until the 30th day following the expiration of the applicable statute of limitations (taking in to account any applicable extensions or tollings thereof). Any claims (other than claims with respect to [Omitted] pursuant to [Omitted] shall be recoverable solely and exclusively from and to the extend of amounts available under the Indemnity Deposit Escrow Account. Further, in the event of a conflict between the provisions of this [Omitted] and any other provisions of this Agreement, this [Omitted] shall control.
Survival and Conflict. The obligations set forth in this Section 6.7 shall survive Closing until the date that is 30 days after the expiration of the applicable statute of limitation for such Taxes.
Survival and Conflict. The Confidentiality Obligations shall survive the expiration or earlier termination of this Agreement or of any Licence granted under this Agreement. In the event of any conflict between the Confidentiality Obligations and the obligations or requirements of any nondisclosure agreement by and between Clinical Architecture and Buyer, the provisions that are most protective of Discloser’s Confidential Information shall govern and control.
Survival and Conflict. The obligations set forth in Section 7.1(b) shall survive Closing for the applicable statute of limitations. Further, in the event of a conflict between the provisions of this Article 7 and any other provision of this Agreement, this Article 7 shall control.
Survival and Conflict. Notwithstanding any other provision of the Agreement to the contrary, the obligations of the Parties hereto set forth in this Article 9 (i) shall survive until thirty (30) days following the expiration of the applicable Tax statute of limitations date, and shall not be subject to any limitations, conditions, or requirements contained in other Articles of this Agreement and (ii) shall not apply to matters covered by the Settlement Agreement, and such matters will be handled in accordance with the provisions thereof.
Survival and Conflict. The obligations set forth in this Section 7.8 (Tax Matters) shall survive Closing until the expiration of the applicable statute of limitation.
