Common use of Survival and Coordination Clause in Contracts

Survival and Coordination. Notwithstanding anything herein to the contrary, Section 3.8 and this Article VII shall survive the Closing until 90 days after the expiration of the applicable statute of limitations (giving effect to any waiver, mitigation or extension thereof). Claims for indemnification with respect to Income Taxes shall be governed exclusively by this Article VII and Section 9.8 (but not by any other provision of Article IX).

Claims for indemnification with respect to Income Taxes shall (including claims arising under Section 4.17) be governed exclusively by this Article VII ARTICLE VIII, Section 11.5, Section 11.7, Section 11.8, Section 11.9, and Section 9.8 11.10 (but not by any other provision of Article IXARTICLE XI).
