Common use of Survival Beyond Termination Clause in Contracts

Survival Beyond Termination. Notwithstanding anything in this Agreement to the contrary, the restrictions and obligations contained in Sections 6, 8, 11 and 12.5 shall survive termination of Executive’s employment, whether voluntary or involuntary and whether due to the expiration, non-renewal or termination of this Agreement, and be binding regardless of the reason for termination of employment. Executive covenants that if Executive should ever seek to avoid his obligations under Section 6.11, Section 8, Section 11 or Section 12.5 because Executive contends that such restrictions are unenforceable as written for any reason, Executive shall provide notice to the Company in accordance with the provisions of Section 12.1 of this Agreement setting forth in detail the reasons that Executive believes such restrictions to be unenforceable.
