Survival Following Termination. In the event of termination of this Agreement at or prior to the Closing Time pursuant to Sections 5.2, 5.4 or 5.5, the provisions of Article 8 shall survive such termination indefinitely. Upon such termination: (a) the Purchaser shall promptly deliver to the Vendors all copies of all Records and other written material obtained by the Purchaser from the Vendors or MFI in connection with this Agreement; and (b) the Vendors shall promptly deliver to the Purchaser all copies of all corporate records of the Purchaser and other written material obtained by the Vendors from the Purchaser in connection with this Agreement.

Upon such termination:
(a) , the Purchaser shall promptly deliver to the Vendors Vendor all copies of all Records and corporate records of the Corporation and other written material obtained by the Purchaser from the Vendors Vendor or MFI in connection with this Agreement; and
(b) the Vendors shall promptly deliver to the Purchaser all copies of all corporate records of the Purchaser and other written material obtained by the Vendors from the Purchaser Corporation in connection with this Agreement.
