Survival of Accrued Liabilities. The termination of this Agreement for any reason will not release any Party from any obligations that accrued hereunder prior to such termination and notwithstanding any termination of this Agreement, the provisions of Subsections 10.2.1 and 10.2.4, Article 15, Article 17 and Section 18.9 will continue in full force and effect.

Survival of Accrued Liabilities. Notwithstanding the termination of this Agreement for any reason whatsoever, each Party will be liable for all of its accrued obligations hereunder up to and including the date on which the termination becomes effective.

  • Excluded Liabilities Notwithstanding the provisions of Section 2.03 or any other provision in this Agreement to the contrary, Buyer shall not assume and shall not be responsible to pay, perform or discharge any Liabilities of Seller or any of its Affiliates of any kind or nature whatsoever other than the Assumed Liabilities (the “Excluded Liabilities”). Seller shall, and shall cause each of its Affiliates to, pay and satisfy in due course all Excluded Liabilities which they are obligated to pay and satisfy.
