SURVIVAL OF CLAUSES. The following clauses shall survive the termination or expiry of this Agreement: clauses 1, 4, 5, 7, 8 and 19. Subject to clause 19.2: If the Site is located in England or Wales, this Agreement is deemed made and shall be interpreted in accordance with the laws of England and Wales and the Parties submit to the exclusive jurisdiction of the English and Welsh Courts. If the Site is located in Scotland this Agreement is deemed made and shall be interpreted in accordance with the laws of Scotland and the Parties submit to the exclusive jurisdiction of the Scottish Courts. If the Site is located in Northern Ireland this Agreement is deemed made and shall be interpreted in accordance with the laws of Northern Ireland and the Parties submit to the exclusive jurisdiction of the Northern Irish Courts. The Parties may agree to override clause 19.1.1, 19.1.2 and 19.1.3 and nominate the English and Welsh or Scottish or Northern Irish laws and court jurisdiction to apply to this Agreement irrespective of the location of the Site or Sites. Any such nomination must be in writing and signed by all Parties.
