Common use of Survival of Terms Following Termination Clause in Contracts

Survival of Terms Following Termination. Upon any termination or expiration of this Escrow Agreement, the following provisions of this Escrow Agreement shall survive: (1) this Section 6(f); (2) Depositor’s warranties, representations, or covenants hereunder; (3) the obligations of confidentiality with respect to the Deposit Materials; (4) the rights and licenses granted hereunder if a Release Condition has occurred or if Depositor and Registrant have jointly instructed Escrow Agent to release the Deposit Materials; (5) the obligation to pay Escrow Agent any undisputed fees and expenses due; (6) the provisions of Section 8 and Section 9 below; and (7) any provisions in this Escrow Agreement which specifically state they survive the termination or expiration of this Escrow Agreement.
