Common use of Survival of Terms Following Termination Clause in Contracts

Survival of Terms Following Termination. Upon termination of this --------------------------------------- Agreement, the following provisions of this Agreement will survive: a. Depositor's Representations (Section 1.5); b. The obligations of Escrow Agent and Preferred Beneficiary to maintain confidentiality with respect to the Deposit Materials; c. The rights granted in the sections entitled Right to Transfer Upon Release (Section 3.3) and Right to Use Following Release (Section 4.5), if a release of the Deposit Materials has been made using the procedure described in Article 4 prior to termination; d. The obligation to pay Escrow Agent any fees and expenses due; and e. The provisions of Sections 7.1 and 7.2.

The rights granted in the sections entitled Right to Transfer Upon Release (Section 3.3) and Right to Use Following Release (Section 4.5), if a release of the Deposit Materials Source Code has been made using the procedure described in Article 4 occurred prior to termination; d. The obligation to pay Escrow Agent any fees and expenses due; e. The obligations of Escrow Agent under Section 5.4; f. The provisions of Article 7; and e. The g. Any provisions in this Agreement which specifically state they survive the termination of Sections 7.1 and 7.2this Agreement.
