Common use of Survival of this Agreement Clause in Contracts

Survival of this Agreement. All covenants, agreements, representations and warranties made in this Agreement shall survive the issuance by the Bank of the Letter of Credit and shall continue in full force and effect so long as the Letter of Credit shall be unexpired or any sums drawn or due thereunder or any other obligations shall be outstanding and unpaid, regardless of any investigation made by any Person and so long as any amount payable hereunder remains unpaid. Whenever in this Agreement the Bank is referred to, such reference shall be deemed to include the successors and assigns of the Bank and all covenants, promises and agreements by or on behalf of the City which are contained in this Agreement shall inure to the benefit of the successors and assigns of the Bank. The rights and duties of the City may not be assigned or transferred without the prior written consent of the Bank, and all obligations of the City hereunder shall continue in full force and effect notwithstanding any assignment by the City of any of its rights or obligations under any of the Program Documents or any entering into, or consent by the City to, any supplement or amendment to, or termination of, any of the Program Documents. Except as provided in Section 11.10 hereof, the rights and duties of the Bank may not be assigned or transferred without the prior written consent of the City.
