Common use of Surviving Rights Clause in Contracts

Surviving Rights. Termination of this Agreement for any reason shall be without prejudice to: (a) The rights and obligations of the parties provided in Articles VI and VIII hereof, and the representations and warranties provided in Article VII, all of which shall survive such termination; (b) Any other rights, obligations or liabilities which shall have accrued to the benefit of either Party prior to such termination (including without limitation Acuity’s obligation to pay all milestone and royalty payments which shall have accrued hereunder up to and including the effective date of such termination), all of which shall survive such termination; and (c) Any other rights of remedies provided at law or in equity which either party may otherwise have against the other.

Surviving Rights. Termination of this Agreement for any reason shall be without prejudice to: (aA) The rights and obligations of the parties Parties provided in Sections 8.7 and Articles VI X and VIII XII hereof, and the representations and warranties provided in Article VII, all of which shall survive such termination; (bB) Any other rights, obligations or liabilities which shall have accrued to the benefit of either Party prior to such termination (including without limitation AcuityValera’s rights under Sections 4.5 and 13.6 and Valera’s obligation to pay all milestone and royalty payments which shall have accrued hereunder up to and including the effective date of such termination), all of which shall survive such termination; and (cC) Any other rights of remedies provided at law or in equity which either party may otherwise have against the other.

Termination of this Agreement for any reason shall be without prejudice to: (a) The rights and obligations of the parties provided in Sections 8.6 and Articles VI X and VIII XII hereof, and the representations and warranties provided in Article VII, all of which shall survive such termination; (b) Any other rights, obligations or liabilities which shall have accrued to the benefit of either Party prior to such termination (including without limitation AcuityCitius's rights under Sections 4.6 and 13.5 and Citius’s obligation to pay all milestone and royalty payments which shall have accrued hereunder up to and including the effective date of such termination), all of which shall survive such termination; and (c) Any other rights of remedies provided at law or in equity which either party may otherwise have against the other.

Termination of this Agreement for any reason shall be without prejudice to: (a) The rights and obligations of the parties provided in Section 2.1, Articles VI IX and VIII XI hereof, and the representations and warranties provided in Article VIIX, all of which shall survive such termination; (b) Any other rights, obligations or liabilities which shall have accrued to the benefit of either Party prior to such termination (including without limitation Acuity’s obligation to pay all milestone and royalty payments which shall have accrued hereunder up to and including the effective date of such termination), all of which shall survive such termination; and (c) Any other rights of remedies provided at law or in equity which either party may otherwise have against the other.

Surviving Rights. Termination of this Agreement for any reason shall be without prejudice to: (aA) The rights and obligations of the parties Parties provided in Sections 8.7 and Articles VI X and VIII XII hereof, and the representations and warranties provided in Article VII, all of which shall survive such termination; (bB) Any other rights, obligations or liabilities which shall have accrued to the benefit of either Party prior to such termination (including without limitation Acuity’s Valera's rights under Sections 4.5 and 13.6 and Valera's obligation to pay all milestone and royalty payments which shall have accrued hereunder up to and including the effective date of such termination), all of which shall survive such termination; and (cC) Any other rights of remedies provided at law or in equity which either party may otherwise have against the other.
