Post Termination Rights and Obligations. Upon the effective date of termination of the Agreement, Xxxxxxxx’s rights hereunder to use the Services shall cease, but Merchant’s obligations in connection with any transaction processed by FORTE on behalf of Merchant (whether before or after such termination) shall survive termination.
Post Termination Rights and Obligations. Should WVDA cease to use the Name and Logo, WVDA shall provide Licensee with written notice to discontinue all use of the Name and Logo. If WVDA or Licensee provides written notice of its intent to withdraw from this Agreement, Licensee shall cease affixing the Name and Logo to promotional items and shall withdraw the Name and Logo from publication, wherever possible.
Post Termination Rights and Obligations. Upon any termination of this Agreement, You shall:
(a) cease any further use, sale or distribution of the Materials.
Post Termination Rights and Obligations. (i) Upon expiration or termination of this Agreement, the grant of the license of the GUARDIAN RFID Software Materials, the grant of access to GUARDIAN RFID OnDemand, and all other rights granted to the Customer under this Agreement will immediately terminate and revert to GUARDIAN RFID and the Customer must discontinue all use of the GUARDIAN RFID Software Materials and GUARDIAN RFID OnDemand.
(ii) The following shall survive the expiration or termination of this Agreement:
(A) The provisions of Sections 8 (“Intellectual Property Rights”), 12 (“Confidentiality”), 13 (“Limitation of Liability”), 14 (“Indemnification”), and 18 (“Non-Disparagement”);
(B) The provisions of Section 7 (“Fees and Payment Terms”), with respect to fees incurred prior to the expiration or termination of the Agreement and with respect to fees accelerated in connection with such expiration or termination; and
(C) The Customer’s obligation to pay any fees incurred prior to the expiration or termination of the Agreement or accelerated in connection with such expiration or termination.
Post Termination Rights and Obligations. 10.1. As soon as practical but in no event later than three (3) months following termination of this Agreement, Licensee shall cease making, using, or selling Licensed Product. Licensee shall within thirty (30) days of termination pay to Licensor sums which shall have accrued on or prior to the effective date of termination.
10.2. The provisions and obligations contained in this Agreement relating to payments, reports, auditing, confidentiality, indemnification, and any other provisions that by their nature are intended to survive shall survive the expiration or termination of this Agreement.
Post Termination Rights and Obligations. Termination of this Agreement or any SOW hereunder (howsoever occasioned) shall not affect the any accrued rights or liabilities of either Party nor shall it affect the coming in to force or the continuance in force of any position hereof which is expressly or by implication intended to come into or continue in force on or after such termination. In addition, in the event of a termination of a SOW, such termination shall not affect the obligations of the Parties under other SOWS. For the avoidance of doubt, in accordance with Section 26.19 below, all clauses, which by their nature ought or intend to survive the expiration or termination of this Agreement, shall continue to so survive or operate following the expiration or termination of the Agreement.
Post Termination Rights and Obligations. Termination of this Agreement shall not affect the rights and obligations of the parties that have accrued prior to the effective date of termination. Specifically, the following provisions shall survive termination:

Post Termination Rights and Obligations. The following rights and obligations shall survive the expiration or termination of this Agreement to the extent necessary to permit their complete fulfillment or discharge:
(a) the right of Bose to receive payment for and the obligation of TouchTunes to pay Bose for any Jukeboxes shipped by Bose prior to the time of termination; and for any production, prototype and development costs incurred 12 months prior to the time of termination which can be reasonably substantiated by Bose.
(b) licenses in favor of customers of TouchTunes in respect of products sold by TouchTunes prior to the termination of this Agreement, and licenses in favor of TouchTunes in respect of Jukeboxes that were purchased by TouchTunes from Bose prior to the termination of this Agreement;
(c) the right of TouchTunes and of TMC to perform maintenance and service relating to the Jukeboxes sold prior to the termination of this Agreement;
(d) the obligations regarding confidentiality under Section 7; and
(e) any cause of action or claim of either party because of any breach or default by the other party prior to the termination of this Agreement.
(f) In the event this contract is terminated, Bose will provide to Touchtunes ASAP, all supplier molds, dies and templates at a cost equivalent to the lower of either the Net Book Value or the Fair Market Value. Bose will also provide TouchTunes a list of all the Suppliers and a copy of all Supplier contracts. Bose will assign to TouchTunes and TMC all rights under such contracts and use its best efforts to obtain all necessary consents to transfer such contracts, if required.
Post Termination Rights and Obligations. Upon termination of this Agreement for any reason, the rights and obligations of the parties hereto will terminate, except the Company’s obligations under Section 7 (Compensation for Services) and the parties’ respective rights and obligations under Section 11 (Intellectual Property), Section 12 (Confidential Information) and Section 13 (Indemnification), all of which will survive termination of this Agreement.
