Common use of Surviving Rights Clause in Contracts

Surviving Rights. All provisions of this Agreement which by their nature are intended to survive the expiration or termination of this Agreement shall survive and remain in full force and effect, including but not limited to the restrictions and obligations set forth in Sections 2.3, 2.4, 2.5, 2.6, 2.7, 3.1, 3.2, 4.2, 4.3, 4.4, 5.3, 5.5, 6 and 7 of Part 1 of this Agreement. In the event of the termination of Licensee’s maintenance and support of a perpetual license for the Software and provided Licensee is not in breach of the Agreement, the terms of this Agreement shall remain in full force and effect except for Part 2 of this Agreement and any related maintenance and support terms.

In the event of the termination of Licensee’s maintenance and support of a perpetual license for the Software and provided Licensee is not in breach of the Agreement, the terms of this Agreement shall remain in full force and effect except for Part 2 of this Agreement and any related maintenance and support terms.
