Switch Services. Star agrees that, for a period of one year following the Closing Date, PT-1 will charge IDT not more than the fair market rate for termination of telecommunications traffic on or through any of the PT-1 switches that are presently used in the operation of the Business (including, without limitation, use of the debit card platform to be transferred by PT-1 to IDT pursuant to this Agreement until it is in full operation by IDT), and that such rates will not include any administrative or related overhead charge for the use of such switch (and platform). Notwithstanding the foregoing, PT-1 may (upon not less than 60-days' prior written notice to IDT) sell, transfer, otherwise convey or shut-down any such switch (or platform) at any time after the date which is six months following the Closing Date and IDT's rights under this Section 6 with respect to the relevant switch (and platform) will terminate on the later of (a) the 60th day following written notice from PT-1 to IDT of PT-1's intention to effect such sale, transfer, conveyance or shut-down and (b) the date of such sale, transfer, conveyance or shut-down.

Switch Services. Switch is a blockchain-based financial services ecosystem. The blockchain is empowered by a global decentralized node network where node licensees will be rewarded with SWITCH digital rewards. Switch offers debit payment solutions for both traditional and cryptocurrencies around the world. Switch enables its Users to own, buy, sell, transfer, and share unique digital rewards that can be visualized on the site along with other services through the Switch App, defined below in Section 1.1. To be eligible to use our Services, Users must be an individual, corporation, legal person or entity or organization in a location in which Switch services are available. Individual Users must be at least 18 years old. Full use of our Services requires that Users create an Account(s) by; (1) providing us with information such as their full name, email address (temporary, disposable, self- destructive or similar email address are prohibited), current physical address and such other information that we may require. (2) selecting a strong password, and (3) accepting these Terms & Conditions. Switch reserves sole and absolute discretion to accept or reject any application for any reason or for no reason at all, or limit the number of Account(s) that Users may hold. Under no circumstances shall any of the Indemnified Persons (defined below) be responsible or liable to the User or any other person or entity for any direct or indirect losses (including loss of profits, business or opportunities), damages, or costs arising from our decision to reject the User’s application to open an Account(s). As a money services business registered with the U.S. Department of the Treasury’s Financial Crimes Enforcement Network, Switch is required to, among other things, identify users of our Services. Users agree to provide us with the information we request for the purposes of identity verification and the detection of money laundering, terrorist financing, fraud, or any other financial crime and permit us to keep a record of such information. Users will need to complete certain verification procedures before they are permitted to use the Services and access one or more Account(s) or Services. In addition, as part of our risk management and fraud prevention processes, we may from time-to- time require Users to reconfirm or update some of the information entered when the User took part in our identity verification procedure. Switch Services. As a condition of VTA’s performance under this Agreement (and an exception to VTA’s acceptance deemed to automatically occur pursuant to Section 3), Lessee agrees that it will, prior to delivery to VTA of a Corridor Acceptance Certificate, (i) acquire rights to operate and/or own a switch that is sufficient to operate the VTA Network and to perform Lessee’s obligations under any roaming agreement(s) to which Lessee is a party, or (ii) execute an agreement for hosted switching services sufficient to operate the VTA Network and to perform Lessee’s obligations under any roaming agreement(s) to which Lessee is a party.

  • ADMINISTRATION SERVICES When a medical prescription drug is administered by infusion, the administration of the prescription drug may be covered separately from the prescription drug. See Infusion Therapy - Administration Services in the Summary of Medical Benefits for benefit limits and the amount you pay. Prescription drugs that are self-administered are not covered as a medical benefit but may be covered as a pharmacy benefit. Please see Pharmacy Prescription Drugs and Diabetic Equipment or Supplies – Pharmacy Benefits section above for additional information. Site of Care Program For some medical prescription drugs, after the first administration, coverage may be limited to certain locations (for example, a designated outpatient or ambulatory service facility, physician’s office, or your home), provided the location is appropriate based on your medical status. For a list of medical prescription drugs that are subject to this Site of Care Program, visit our website. Preauthorization may be required to determine medical necessity as well as appropriate site of care. If we deny your request for preauthorization, or you disagree with our determination for the appropriate site of care, you can submit a medical appeal. See Appeals in Section 5 for information on how to file a medical appeal.

  • Customer Services Customer Relationship Management (CRM): All aspects of the CRM process, including planning, scheduling, and control activities involved with service delivery. The service components facilitate agencies’ requirements for managing and coordinating customer interactions across multiple communication channels and business lines. Customer Preferences: Customizing customer preferences relative to interface requirements and information delivery mechanisms (e.g., personalization, subscriptions, alerts and notifications).

  • Maintenance Services Subject to Client’s timely payment of the applicable maintenance fees, Accenture will make available the following maintenance services (“Maintenance Services”):

  • Call Center Services Answer telephone inquiries during mutually agreed upon hours each day on which the Fund is open for trading. In the event that the Fund plans to be open on a business day when the New York Stock Exchange is to be closed, the Fund shall provide the Transfer Agent with reasonable advance notice and the parties shall discuss the call center resources available for such day. The Transfer Agent shall answer and respond to inquiries from existing Shareholders, prospective Shareholders of the Fund and broker-dealers on behalf of such Shareholders in accordance with the instructions provided by the Fund to the Transfer Agent for purpose of fulfilling its duties under this Agreement, including, accepting transaction requests on behalf of the Fund.
