Common use of Tail Clause in Contracts

Tail. The Placement Agent shall be entitled to compensation in accordance with the terms of this Agreement, with respect to any public or private offering or other financing or capital-raising transaction of any kind (“Tail Financing”) to the extent such financing or capital is provided to the Company by U.S. investors whom Placement Agent had introduced to the Company from July 7, 2021 and during the term of this Agreement, if such Tail Financing is consummated at any time within the twelve (12) month period following the expiration or termination of this Agreement.

Tail. The Placement Agent shall be entitled to compensation in accordance with the terms of this Agreement, with respect to any public or private offering or other financing or capital-raising transaction of any kind (“Tail Financing”) to the extent such financing or capital is provided to the Company by U.S. investors whom Placement Agent had introduced to the Company from July 7August 18, 2021 and during the term of this Agreement, if such Tail Financing is consummated at any time within the twelve (12) month four-(4)-month period following the expiration or termination of this Agreement.

Tail. The Placement Agent shall be entitled to compensation in accordance with the terms of this Agreement, with respect to any public or private offering or other financing or capital-raising transaction of any kind (“Tail Financing”) to the extent such financing or capital is provided to the Company by U.S. investors whom Placement Agent had introduced to the Company from July 7February 26, 2021 and during the term of this Agreement, if such Tail Financing is consummated at any time within the twelve six (126) month period following the expiration or termination of this Agreement.

The Placement Agent shall be entitled to compensation in accordance with the terms of this Agreement, with respect to any public or private offering or other financing or capital-raising transaction of any kind (“Tail Financing”) to the extent such financing or capital is provided to the Company by U.S. investors whom Placement Agent had introduced to the Company from July 7, 2021 and during the term of this Agreement, if such Tail Financing is consummated at any time within the twelve five (125) month period following the expiration or termination of this Agreement.
