Taxes and Governmental and Utility Charges. The Mortgagor will pay or cause to be paid, as the same respectively become due, all taxes and governmental charges of any kind whatsoever that may at any time be lawfully assessed or levied against or with respect to the Mortgaged Property or any part thereof, including, without limiting the generality of the foregoing, all ad valorem taxes levied against the Mortgaged Property and any other taxes levied upon the Mortgaged Property which, if not paid, will become a charge on the receipts from the Mortgaged Property or a lien against the Mortgaged Property or any interest therein or the revenues derived therefrom; all utility and other charges incurred in the operation, maintenance, use, occupancy and upkeep of the Mortgaged Property; and all assessments and charges lawfully made by any governmental body for public improvements that may be secured by a lien or the Mortgaged Property, provided that with respect to special assessments or other governmental charges that may lawfully be paid in installments over a period of years, the Mortgagor shall be obligated to pay only such installments when and as they are required to be paid. The Mortgagor may, at the Mortgagor's expense, in good faith contest any such taxes, assessments and other charges, all in the manner and subject to the conditions set forth in Section 5.3(b) of the Agreement.

Taxes and Governmental and Utility Charges. The Society will pay during the term of this Agreement, as the same respectively become due, all taxes and governmental charges, if any, of any kind whatsoever that may at any time be lawfully assessed or levied against or with respect to the Project or any part thereof, or any interest therein or the revenues derived therefrom or hereunder, all utility and other charges incurred in the operation, maintenance, use, occupancy and upkeep of the Project and all assessments and charges lawfully made by any governmental body for public improvements that may be secured by a lien on the Project, provided that with respect to special assessments or other governmental charges, if any, that may lawfully be paid in installments over a period of years, the Society shall be obligated to pay only such installments as are required to be paid during the term of this Agreement. The Society may, at the Society’s expense and in the Society’s name, in good faith contest any such taxes, assessments and other charges and, in the event of any such contest, may permit the taxes, assessments or other charges so contested to remain unpaid during the period of such contest and any appeal therefrom.

In the event that Company shall fail to pay any of the foregoing items required by this Section to be paid by Company, the Issuer, Bank or Trustee may (but shall be under no obligation to) pay the same, and any amounts so advanced therefor by Issuer, Bank or Trustee shall become an additional obligation of Company to the party making the advancement, which amounts, together with interest thereon at the Reference Rate plus 2% per annum, Company agrees to pay. On request, the Company shall provide proof of payment of any such charges during the term of this Agreement. Company shall maintain a set of plans and specifications at the Project site.

Taxes and Governmental and Utility Charges. (a) The Company will pay or cause to be paid, before the date when interest (provided that "interest" shall not include discounts for early payment under the Law of the State of Alabama (the "State")) and penalties become due thereon, all taxes and governmental and utility charges of any kind whatsoever that may at any time be lawfully assessed or levied against or with respect to the Collateral or any part thereof (other than taxes or charges that are the subject of a Good Faith Contest), including, without limiting the generality of the foregoing, (i) all ad valorem taxes levied against the Collateral and any other taxes levied upon the Collateral that, if not paid, will become a Lien on the receipts from the Collateral or against the Collateral or any interest therein or the revenues derived therefrom; (ii) all utility and other charges incurred in the operation, maintenance, use, occupancy and upkeep of the Collateral that, if not paid, will become a Lien on the receipts from the Collateral or a Lien against the Collateral or any interest therein or the revenues derived therefrom; and (iii) all assessments and charges lawfully made by any Governmental Authority for public improvements that may be secured by a Lien on the Collateral, provided that, with respect to special assessments or other governmental charges that may lawfully be paid in installments over a period of years, the Company shall be obligated to pay only such installments when and as they are required to be paid.
