Common use of Technical and Professional Services Clause in Contracts

Technical and Professional Services. The Manager may, with the prior approval of the Owner and at the Owner's expense, secure such engineering, legal, and other specialized technical and professional services as may be necessary to advise or represent the Owner in connection with any matter involving or arising out of the ownership and operation of the Facility or the conduct of affairs of the Facility.

The Manager may, with the prior approval of the Owner and at the Owner's expense, shall secure such engineering, legal, legal and other specialized technical and professional services as may be necessary to advise or to represent the Owner Companies in connection with any matter involving or arising out of the ownership and operation of the Facility or Facilities; provided, however, that the conduct providers of affairs any such services shall be subject to the approval of the FacilityCompanies.
