Common use of Telephonic Meeting Clause in Contracts

Telephonic Meeting. Unless otherwise restricted by the ------------------ Certificate of Incorporation, members of the Board, or any committee designated by the Board, may participate in a meeting by means of conference telephone or similar communications equipment in which all persons participating in the meeting can hear each other. Participation in a meeting by means of conference telephone or similar communications equipment shall constitute the presence in person at such meeting.
