Common use of Tenant Agreements Clause in Contracts

Tenant Agreements. Notwithstanding that each Tenant shall accept the Agreement, MSP will enter into a Tenant Agreement with each of its Tenants which will be at least as protective of Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers) and the Service as the terms and conditions of the Agreement. Tenant Agreement will: (i) not make any representation or warranty on behalf of Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers) or create or purport to create any obligation or liability on Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers); (ii) disclaim any and all liability on behalf of Entrust Datacard (and its Affiliates, licensors and suppliers); (iii) name Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers) and their respective officers, directors, employees, and contract workers as indemnified parties in any indemnification obligation benefiting MSP; (iv) make Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers) third-party beneficiaries to the clauses implementing (ii) and (iii) above; and (v) cause Tenant to provide all appropriate notices to Users and obtain from the Users all necessary consents required for MSP to meet its obligations to Entrust Datacard under the Agreement. MSP will comply with all requirements relating to onboarding of Tenants as set out in the Documentation. If MSP agrees to the terms and conditions of the Agreement on behalf of a Tenant (e.g. an MSP administrator clicks the “I Accept”, “Start Trial” or similar button, and/or checks the box presented with these Terms of Service), MSP represents and warrants that it has legal authority to bind such Tenant, and shall ensure that Tenant is made aware of and complies with all the applicable terms and conditions in the Agreement.

Tenant Agreements. Notwithstanding that each Anything in the Lease to the contrary notwithstanding, Tenant shall accept acknowledges and agrees that: (a) Landlord has no obligations or liabilities with respect to the Agreement, MSP will enter into a Tenant Agreement Kosx Xxgn Premises except as expressly provided in this Restated Lease or the REA; (b) Landlord has no obligations or liabilities of any kind or nature whatsoever with each respect to or arising out of its Tenants which will be at least as protective of Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers) and the Service as the terms and conditions of the Agreement. Tenant Agreement will: (i) not make the Lease prior to the effective date of the Assignment and this Restated Lease (including, without limitation, any representation obligations, debts or warranty on behalf liabilities of Entrust Datacard (and its AffiliatesKosx xx landlord under the Lease, licensorsif any), suppliers and hosting providers) or create or purport to create any obligation or liability on Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers); (ii) disclaim any and all liability on behalf of Entrust Datacard (and its Affiliatesthe Kosx Xxrcel or the condition thereof, licensors and suppliers); or (iii) name Entrust Datacard any other agreements (and its Affiliatesverbal or written) between Kosx xxd Tenant with respect to the Kosx Xxgn Premises, licensors, suppliers and hosting providers) and their respective officers, directors, employeesthe HD Parcel or any other matter or thing, and contract workers as indemnified parties Tenant does hereby release Landlord from any such obligations or liabilities and waives all claims against Landlord in connection therewith; (c) Landlord is not making and has not made any indemnification obligation benefiting MSP; representations or warranties of any kind or nature concerning the Kosx Sign Premises including, without limitation, the condition thereof or whether the Kosx Xxgns are or will be in compliance with or permitted by applicable laws; (ivd) make Entrust Datacard (and its Affiliates, licensors, suppliers and hosting providers) third-party beneficiaries the covenant of quiet enjoyment set forth in the Lease with respect to the clauses implementing Kosx Xxgn Premises shall only apply with respect to matters caused by Landlord, its agents, employees or contractors, or anyone claiming by or through Landlord; (iie) the indemnity set forth in Section 9(D) of the Building Lease shall also include Tenant's indemnification of Landlord with respect to any liabilities, claims, losses, damages, demands, fines, penalties, interest, liens, costs or expenses (including, without limitation, reasonable attorneys' fees and (iiilitigation expenses) above; and (v) cause Tenant arising out of the failure of the Kosx Xxgns to provide all appropriate notices to Users and obtain from the Users all necessary consents required for MSP to meet its obligations to Entrust Datacard under the Agreement. MSP will comply with all requirements relating applicable laws or with respect to onboarding the continued maintenance of Tenants as set out the Kosx Xxgns following notice from any applicable governmental authority that such signs are prohibited under applicable law; and (f) In addition to any other applicable rights or remedies available to Landlord at law or in equity, Landlord shall have all rights and remedies available under Section 14 of the Building Lease in the Documentation. If MSP agrees to the terms and conditions event of the Agreement on behalf of a Tenant (e.g. an MSP administrator clicks the “I Accept”, “Start Trial” or similar button, and/or checks the box presented with these Terms of Service), MSP represents and warrants that it has legal authority to bind such Tenant, and shall ensure that Tenant is made aware of and complies with all the applicable terms and conditions in the Agreement's default under this Restated Lease.
