Tenant Authorized to Do Business. Tenant represents, warrants and covenants that it is upon the date of execution hereof and throughout the term of this Lease that it shall continue to be authorized to do business in the state in which the Premises are located. Tenant, if a partnership, LLC or corporation, agrees to furnish to Landlord, upon request, evidence of authority for entering into this Lease.

Tenant Authorized to Do Business. Tenant represents and covenants that it is and throughout the term of this Lease shall be authorized to do business in the state in which the Building is located. In the event Tenant hereunder is a corporation, the persons executing this Lease on behalf of the Tenant hereby covenant and warrant that: the Tenant is a duly constituted corporation qualified to do business in the state in which the Building is located, all Tenant's franchise and corporate taxes have been paid to date; and such persons are duly authorized by the governing body of such corporation to execute and deliver this Lease on behalf of the corporation.

  • Authorized to do Business To the extent required under applicable law, as of the Cut-off Date or as of the date that such entity held the Mortgage Note, each holder of the Mortgage Note was authorized to transact and do business in the jurisdiction in which each related Mortgaged Property is located, or the failure to be so authorized does not materially and adversely affect the enforceability of such Mortgage Loan by the Trust.

  • Default Authorized User a. Breach by Authorized User An Authorized User’s breach shall not be deemed a breach of the Centralized Contract; rather, it shall be deemed a breach of the Authorized User’s performance under the terms and conditions of the Centralized Contract.

  • Authorized Uses The Participating Institutions and the Authorized Users may make all use of the Licensed Materials as is consistent with the applicable law and with this Agreement, including but not limited to the following licensing conditions ("Authorized Uses"). In addition, the Licensed Materials may be used for purposes of research, education or other non-commercial use as particularly follows:

An Authorized User has no authority to add or delete Cardholders, request a replacement Card or terminate or modify this Agreement. You may terminate an Authorized User’s authority to access your Account at any time. To do this, you must return the Card to PenFed.
