Common use of Tenant to Defend Clause in Contracts

Tenant to Defend. If any claim, action or proceeding is made or brought against Landlord against which it is indemnified pursuant to Section 19.01 above, then, upon demand by Landlord, Tenant shall resist or defend such claim, action or proceeding in Landlord's name, if necessary, by the attorneys for Tenant's insurance carrier (if such claim, action or proceeding is covered by insurance), otherwise by such attorneys as Tenant shall reasonably select. The foregoing notwithstanding, Landlord may engage its own attorneys at Landlord's cost to defend it or to assist in its defense.
