Tenant’s Bankruptcy. Landlord and Tenant (as either debtor or debtor-in-possession) agree that if a petition (“Petition”) is filed by or against Tenant under any Chapter of Title 11 of the United States Code (the “Bankruptcy Code”), the following provisions shall apply: (a) Adequate protection for Tenant’s obligations accruing after filing of the Petition and before this Lease is rejected or assumed shall be provided within 15 days after filing in the form of a security deposit equal to three months’ Base Rent and Additional Rent and other Lease charges, to be held by the court or an escrow agent approved by Landlord and the court. (b) The sum of all amounts payable by Tenant to Landlord under this Lease constitutes reasonable compensation for the occupancy of the Premises by Tenant. (c) Tenant or Trustee shall give Landlord at least 30 days written notice of any vacating or abandonment of the Premises or any proceeding relating to administrative claims. If Tenant vacates or abandons without notice, Tenant or Trustee shall stipulate to entry of an order for relief from stay to permit Landlord to reenter and re-let the Premises. (d) If Tenant failed to timely and fully perform any of its obligations under this Lease before the filing of the Petition, whether or not Landlord has given Tenant written notice of that failure and whether or not any time period for cure expired before the filing of the Petition, Tenant shall be deemed to have been in default on the date the Petition was filed for all purposes under the Bankruptcy Code. (e) For the purposes of Section 365(b)(1) of the Bankruptcy Code, prompt cure of defaults shall mean cure within 30 days after assumption. (f) For the purposes of Section 365(b)(1) and 365(f)(2) of the Bankruptcy Code, adequate assurance of future performance of this Lease by Tenant, Trustee or any proposed assignee will require that Tenant, Trustee or the proposed assignee deposit three months of Base Rent and Additional Rent into an escrow fund (to be held by the court or an escrow agent approved by Landlord and the court) as security for such future performance. In addition, if this Lease is to be assigned, adequate assurance of future performance by the proposed assignee shall require that: (i) the assignee have a tangible net worth not less than the net worth of Tenant as of the Commencement Date or that such assignee’s performance be unconditionally guaranteed by a person or entity that has a tangible net worth not less than the net worth of Tenant as of the Commencement Date; (ii) the assignee demonstrate that it possesses a history of success in operating a business of similar size and complexity in a similar market as Tenant’s business; and (iii) assignee assume in writing all of Tenant’s obligations relating to the Premises or this Lease. (g) If Tenant or Trustee intends to assume and/or assign this Lease, Tenant or Trustee shall provide Landlord with 30 days written notice of the proposed action, separate from and in addition to any notice provided to all creditors. Notice of a proposed assumption shall state the assurance of prompt cure, compensation for loss and assurance of future performance to be provided to Landlord. Notice of a proposed assignment shall state: (i) the name, address, and federal tax identification and registration numbers of the proposed assignee; (ii) all of the terms and conditions of the proposed assignment, and (iii) the assignee’s proposed adequate assurance of future performance to be provided to Landlord. (h) If Tenant is in default under this Lease when the Petition is filed, Landlord shall not be required to provide Tenant or Trustee with services or supplies under this Lease or otherwise before Tenant assumes this Lease, unless Tenant compensates Landlord for such services and supplies in advance.

Tenant’s Bankruptcy. Nothing contained in this ARTICLE 15 shall limit or prejudice the right of Landlord to prove and obtain as liquidated damages in any bankruptcy, insolvency, receivership, reorganization or dissolution proceeding an amount equal to the maximum allowed by a statute or rule of law governing such proceeding and in effect at the time when such damages are to be proved, whether or not such amount shall be greater than, equal to or less than the amount of the damages referred to in any of the preceding Sections of this ARTICLE 15. If an order for relief is entered or if a stay of proceeding or other acts becomes effective in favor of Tenant or Tenant’s interest in this Lease, in any proceeding which is commenced by or against Tenant under the present or any future applicable federal Bankruptcy Code or any other present or future applicable federal, state or other statute or law, Landlord shall be entitled to invoke any and all rights and remedies available to it under such bankruptcy code, statute, law or this Lease, including, without limitation, such rights and remedies as may be necessary to adequately protect Landlord’s right, title and interest in and to the Property or any part thereof and/or adequately assure the complete and continuous future performance of Tenant’s obligations under this Lease. Adequate protection of Landlord’s right, title and interest in and to the Property, and adequate assurance of the complete and continuous future performance of Tenant’s obligations under this Lease shall include, without limitation, the following requirements:
(i) that Tenant shall duly and timely comply with all of its obligations under this Lease;
(ii) that Tenant shall pay to Landlord, on the first day of each month occurring subsequent to the entry of such order, or on the effective date of such stay, a sum equal to the amount by which the Property diminished in value during the immediately preceding monthly period, but in no event an amount which is less than the aggregate Rent payable for such monthly period;
(iii) that Tenant shall continue to use the Property in the manner required by this Lease;
(iv) that Landlord shall be permitted to supervise the performance of Tenant’s obligations under this Lease;
(v) that Tenant shall hire such security personnel as either debtor may be necessary to insure the adequate protection and security of the Property;
(vi) that Tenant shall pay to Landlord on the date of entry of such order or the effective date of such stay, as partial adequate protection against future diminution in value of the Property and adequate assurance of the complete and continuous future performance of Tenant’s obligations under this Lease, a security deposit in an amount acceptable to Landlord, but in no event less than the Rent payable hereunder for the then-current Lease Year;
(vii) that Tenant has and will continue to have unencumbered assets after the payment of all secured obligations and administrative expenses to assure Landlord that sufficient funds will be available to fulfill the obligations of Tenant under this Lease;
(viii) that Landlord shall be granted a security interest acceptable to Landlord in property of Tenant to secure the performance of Tenant’s obligations under this Lease; and
(ix) that if Tenant’s trustee, Tenant or Tenant as debtor-in-possession assumes this Lease and proposes to assign the same (pursuant to Title 11 U.S.C. 365, as the same may be amended) to any Person who shall have made a bona fide offer to accept an assignment of this Lease on terms acceptable to the trustee, Tenant or Tenant as debtor-in-possession) agree that if a petition (“Petition”) is filed by or against Tenant under any Chapter , then notice of Title 11 of the United States Code (the “Bankruptcy Code”)such proposed assignment, the following provisions shall apply:

Tenant’s Bankruptcy. Section 18.01. Landlord and Tenant (as either debtor or debtor-in-possession) agree that if Tenant ever becomes the subject of a petition voluntary or involuntary bankruptcy, reorganization, composition, or other similar type proceeding under the Federal Bankruptcy Laws, as now enacted or hereinafter amended, then "adequate protection" of Landlord's interest in the Demised Premises pursuant to the provisions of Sections 361 and 363 (“Petition”or their successor sections) is filed by or against Tenant under any Chapter of Title 11 of the United States Code (the “Bankruptcy Code”), 11 U.S.C. Paragraph 101, et seq. (such Bankruptcy Code as amended from time to time being herein referred to as the following provisions shall apply:
(a"Bankruptcy Code") Adequate protection for Tenant’s obligations accruing after filing prior to assumption and/or assignment of the Petition Lease by Tenant shall included, but not be limited to the continued payment by Tenant of all Annual Base Rental, additional rent and before all other sums due and owing under this Lease and the performance of all other covenants and obligations under this Lease by Tenant.
Section 18.02. Any person or entity to which this Lease is rejected or assumed assigned pursuant to the provisions of the Bankruptcy Code, shall be provided within 15 days deemed without further act or deed to have assumed all of the obligations of Tenant arising under this Lease on and after filing in the form effective date of a security deposit equal such assignment. Any such assignee shall, upon demand by Landlord, execute and deliver to three months’ Base Rent and Additional Rent and other Lease charges, to be held by the court or Landlord an escrow agent approved by Landlord and the courtinstrument confirming such assumption of liability.
(b) The sum of Section 18.03. Notwithstanding anything in this Lease to the contrary, all amounts payable by Tenant to or on behalf of Landlord under this Lease constitutes reasonable compensation for the occupancy of the Premises by Tenant.
(c) Tenant or Trustee shall give Landlord at least 30 days written notice of any vacating or abandonment of the Premises or any proceeding relating to administrative claims. If Tenant vacates or abandons without notice, Tenant or Trustee shall stipulate to entry of an order for relief from stay to permit Landlord to reenter and re-let the Premises.
(d) If Tenant failed to timely and fully perform any of its obligations under this Lease before the filing of the PetitionLease, whether or not Landlord has given Tenant written notice expressly denominated as "rent", shall constitute "rent" for the purposes of that failure and whether or not any time period for cure expired before the filing Section 502(b)(7) of the Petition, Tenant shall be deemed to have been in default on the date the Petition was filed for all purposes under the Bankruptcy Code.
(e) For Section 18.04. If this Lease is assigned to any person or entity pursuant to the purposes of Section 365(b)(1) provisions of the Bankruptcy Code, prompt cure any and all monies or other considerations payable or otherwise to be delivered in connection with such assignment shall be paid or delivered to Landlord, shall be and remain the exclusive property of defaults Landlord and shall mean cure not constitute property of Tenant or of the Estate of Tenant within 30 days after assumption.
(f) For the purposes of Section 365(b)(1) and 365(f)(2) meaning of the Bankruptcy Code, adequate assurance . Any and all monies or other considerations constituting Landlord's property under the preceding sentence not paid or delivered to Landlord shall be held in trust by Tenant for the benefit of future performance Landlord and shall be promptly paid to or turned over to Landlord.
Section 18.05. If Tenant assumes this Lease and proposes to assign the same pursuant to the provisions of the Bankruptcy Code to any person or entity who shall have made a bona fide offer to accept an assignment of this Lease by Tenanton terms acceptable to the tenant, Trustee or any then notice of such proposed assignee will require that Tenantoffer/ assignment, Trustee or the proposed assignee deposit three months of Base Rent and Additional Rent into an escrow fund (to be held by the court or an escrow agent approved by Landlord and the court) as security for such future performance. In addition, if this Lease is to be assigned, adequate assurance of future performance by the proposed assignee shall require that: setting forth (i) the assignee have a tangible net worth not less than the net worth name and address of Tenant as of the Commencement Date or that such assignee’s performance be unconditionally guaranteed by a person or entity that has a tangible net worth not less than the net worth of Tenant as of the Commencement Date; (ii) the assignee demonstrate that it possesses a history of success in operating a business of similar size and complexity in a similar market as Tenant’s business; and (iii) assignee assume in writing all of Tenant’s obligations relating to the Premises or this Lease.
(g) If Tenant or Trustee intends to assume and/or assign this Leaseentity, Tenant or Trustee shall provide Landlord with 30 days written notice of the proposed action, separate from and in addition to any notice provided to all creditors. Notice of a proposed assumption shall state the assurance of prompt cure, compensation for loss and assurance of future performance to be provided to Landlord. Notice of a proposed assignment shall state: (i) the name, address, and federal tax identification and registration numbers of the proposed assignee; (ii) all of the terms and conditions of the proposed assignmentsuch offer, and (iii) the assignee’s proposed adequate assurance of -to be provided Landlord to assure such person's or entity's future performance under the Lease, shall be given to Landlord by Tenant no later than twenty (20) days after receipt by Tenant, but in any event no later than ten (10) days prior to the date that Tenant shall made application to a court of competent jurisdiction for authority and approval to enter into such assumption and assignment, and Landlord shall thereupon have the prior right and option, to be provided exercised by notice to Landlord.

Tenant’s Bankruptcy. In the event of Tenant’s bankruptcy which is not dismissed within sixty (60) days of filing, Landlord at its option may, in addition to all other rights and remedies provided In the Lease at law or in equity, terminate this Lease by giving written notice lo Tenant. If termination of this Lease shall be stayed by order of any court having jurisdiction over any bankruptcy or insolvency proceeding or by federal or state statute, then, following the expiration of any such stay, or if Tenant (or Tenant as either debtor or debtor-in-possessionpossession or the trustee appointed in any such proceeding (being collectively referred to as “Tenant” only for the purposes of this Paragraph 17.9) agree that if a petition shall fail to assume Tenant’s obligations under this Lease within the period prescribed therefor by law or within fifteen (“Petition”15) is filed by or against Tenant under any Chapter of Title 11 days after entry of the United States Code order for relief or as may be allowed by the court, or if Tenant shall fail to provide adequate protection of Landlord’s right, title and Interest in and to the Premises or adequate assurance of the complete and continuous future performance of Tenant’s obligation under this Lease, Landlord, to the extent permitted by law or by leave of the court having Jurisdiction over such proceeding, shall have the right, at its election, to terminate this Lease on fifteen (15) days’ notice to Tenant and upon the “Bankruptcy Code”)expiration of said fifteen (15) day period this Lease shall cease and expire as aforesaid and Tenant shall Immediately quit and surrender the Premises as aforesaid. Tenant hereby agrees that (a) all obligations that accrue under this Lease (including, but not limited to Tenant’s obligation to pay rent), from and after the date that a petition is filed or other action is commenced under the Bankruptcy Code or the Insolvency Laws (an “Action-) shall be timely performed exactly as provided in this Lease and any failure to so perform shall be harmful and prejudicial to Landlord; (b) any and all rents that accrue from and after the date that an Action is commenced and that are not paid as required by this Lease shall, in the amount of such rents, constitute administrative expense claims allowable under the Bankruptcy Code with priority of payment at least equal to that of any other actual and necessary expenses incurred after the commencement of the Action; (c) any extension of the time period within which Tenant may assume or reject the Lease without an obligation to cause all obligations under the Lease to be performed as and when required under the Lease, and/or any extension of the time within which Tenant must cure all defaults and compensate Landlord for all pecuniary losses that extends beyond the date of assumption of the Lease shall be harmful and prejudicial to Landlord; (d) any proposed assignment of the Lease to an assignee: (I) that will not use the Premises specifically in accordance with the Lease, or (ii) that does not possess financial condition, operating performance and experience characteristics equal to or better than the financial condition, operating performance and experience of Tenant as of the date of this Lease, shall be harmful and prejudicial to Landlord; and (e) the rejection (or deemed rejection) of the Lease for any reason whatsoever shall constitute cause for immediate relief from the automatic stay provisions of the Bankruptcy Code, and Tenant stipulates that such automatic stay shall be lifted immediately and possession of the Premises will be delivered to Landlord immediately without the necessity of any further action by Landlord. No provision of this Lease shall be deemed a waiver of Landlord’s rights or remedies under the Bankruptcy Code, the Insolvency Laws, or applicable law to oppose any assumption and/or assignment of this Lease, to require timely performance of Tenant’s obligations relating to the Premises or this Lease.
(g) If Tenant or Trustee intends to assume and/or assign under this Lease, Tenant or Trustee shall provide Landlord with 30 days written notice to regain possession of the proposed action, separate from and in addition to any notice provided to all creditors. Notice of Premises as a proposed assumption shall state the assurance of prompt cure, compensation for loss and assurance of future performance to be provided to Landlord. Notice of a proposed assignment shall state: (i) the name, address, and federal tax identification and registration numbers result of the proposed assignee; (ii) all failure of Tenant to comply with the terms and conditions of the proposed assignment, and (iii) the assignee’s proposed adequate assurance of future performance to be provided to Landlord.
(h) If Tenant is in default under this Lease when the Petition is filed, Landlord shall not be required to provide Tenant or Trustee with services or supplies under this Lease or otherwise before Tenant assumes this Lease, unless Tenant compensates Landlord for such services and supplies in advancethe Bankruptcy Code.

Tenant’s Bankruptcy. Subject to the cure period set forth in Section 17.1 (iii) and in addition to Landlord's remedies under this Article 17, Landlord may, at Its sole discretion and without notice, invoke the following provisions:
(a) Upon a Tenant's bankruptcy, this Lease and all rights of Tenant hereunder shall automatically terminate with the same force and effect as if the date of any such event were the date stated herein for the expiration of the Term, and Tenant shall vacate and surrender the Leased Premises, but shall remain liable as therein provided, Landlord reserves, any and all remedies provided herein or at law or in equity.
(b) If this Lease is not terminated in accordance with subsection (a) above because such termination is not allowed under the Bankruptcy Code (hereinafter defined), upon the filing of a petition by or against Tenant under the Bankruptcy Code, Tenant, as debtor and as debtor in possession and any trustee who may be appointed, agree:
(1) to perform promptly each and every obligation of Tenant under this Lease until such time as this Lease is either debtor rejected or debtorassumed by order of a United States Bankruptcy Court or other United States Court of competent jurisdiction; or deemed rejected by operation of law, pursuant to 11 U.S.C. Section 365(c)(4);
(2) to pay monthly in advance on the first day of each month as reasonable compensation for use and occupancy of the Leased Premises an amount equal to all Monthly Base Rent and all other Additional Rent;
(3) to reject or assume this Lease within sixty (60) days of the filing of such petition under Chapter 7 of the Bankruptcy Code or within thirty (30) days of the filing of a petition under any other Chapter:
(4) to give Landlord at least forty-in-possessionfive (45) agree days prior written notice of any proceeding relating to any assumption of this Lease;
(5) to give Landlord at least thirty (30) days prior written notice of any abandonment of the Leased Premises;
(6) to be deemed conclusively to have rejected this Lease in the event of the failure to comply with any of the above;
(7) to have consented to the entry of an order by an appropriate United States Bankruptcy Court providing all of the above, waiving notice and hearing of the entry of same; and
(8) that this is a "lease of real property" as such term is used in the Bankruptcy Code.
(c) Notwithstanding anything in this Lease to the contrary, all amounts payable by Tenant to or on behalf of Landlord hereunder, whether or not expressly denominated as Rent, shall constitute "rent" for the purposes of Section 502(b)(7) of the Bankruptcy Code, including, without limitation, reasonable attorneys' fees incurred by Landlord by reason of Tenant's bankruptcy.
(d) Nothing contained in this Section 17.3 shall be deemed in any manner to limit Landlord's rights and remedies under the Bankruptcy Code,' as presently existing or as may hereafter be amended. In the event that the Bankruptcy Code is interpreted or amended during the term of this Lease to so permit, or is superseded by an act so permitting, the following additional acts shall be deemed an event of default under this Lease: (i) if Tenant is adjudicated insolvent by the United States Bankruptcy Code or (ii) if a petition (“Petition”) is filed by or against Tenant under any Chapter the Bankruptcy Code and such petition is not vacated within one hundred twenty (120) days. In either of Title 11 such events, this Lease and alt rights of Tenant hereunder shall automatically terminate with the same force and effect as if the date of either such event were the date stated herein for the expiration of the United States Code (the “Bankruptcy Code”)Term, the following provisions shall apply:
(a) Adequate protection for Tenant’s obligations accruing after filing of the Petition and before this Lease is rejected or assumed shall be provided within 15 days after filing in the form of a security deposit equal to three months’ Base Rent and Additional Rent and other Lease charges, to be held by the court or an escrow agent approved by Landlord and the court.
(b) The sum of all amounts payable by Tenant to Landlord under this Lease constitutes reasonable compensation for the occupancy of the Premises by Tenant.
(c) Tenant or Trustee shall give Landlord at least 30 days written notice of any vacating or abandonment of the Premises or any proceeding relating to administrative claims. If Tenant vacates or abandons without notice, Tenant or Trustee shall stipulate to entry of an order for relief from stay to permit Landlord to reenter and re-let the Premises.
(d) If Tenant failed to timely and fully perform any of its obligations under this Lease before the filing of the Petition, whether or not Landlord has given Tenant written notice of that failure and whether or not any time period for cure expired before the filing of the Petition, Tenant shall be deemed to have been in default on vacate and surrender the date the Petition was filed for Leased Premises, but shall remain liable as herein provided. Landlord reserves any and all purposes under the Bankruptcy Coderights and remedies provided herein or at law.
(e) For the purposes of Section 365(b)(1) of the Bankruptcy Code, prompt cure of defaults shall mean cure within 30 days after assumption.
(f) For the purposes of Section 365(b)(1) and 365(f)(2) of the Bankruptcy Code, adequate assurance of future performance of this Lease by Tenant, Trustee or any proposed assignee will require that Tenant, Trustee or the proposed assignee deposit three months of Base Rent and Additional Rent into an escrow fund (to be held by the court or an escrow agent approved by Landlord and the court) as security for such future performance. In addition, if this Lease is to be assigned, adequate assurance of future performance by the proposed assignee shall require that: (i) the assignee have a tangible net worth not less than the net worth of Tenant as of the Commencement Date or that such assignee’s performance be unconditionally guaranteed by a person or entity that has a tangible net worth not less than the net worth of Tenant as of the Commencement Date; (ii) the assignee demonstrate that it possesses a history of success in operating a business of similar size and complexity in a similar market as Tenant’s business; and (iii) assignee assume in writing all of Tenant’s obligations relating to the Premises or this Lease.
(g) If Tenant or Trustee intends to assume and/or assign this Lease, Tenant or Trustee shall provide Landlord with 30 days written notice of the proposed action, separate from and in addition to any notice provided to all creditors. Tenant’s Bankruptcy. In addition to, and in no way limiting the other remedies set forth herein, Landlord and Tenant (as either debtor or debtor-in-possession) agree that if Tenant ever becomes the subject of a petition (“Petition”) is filed by voluntary or against Tenant involuntary bankruptcy, reorganization, composition, or other similar type proceeding under any Chapter of Title 11 of the United States Code (the “Bankruptcy Code”)federal bankruptcy laws, the following provisions shall applyas now enacted or hereinafter amended, then:

(c) Notwithstanding anything in this Lease to the contrary, all amounts payable by Tenant to or on behalf of Landlord under this Lease constitutes reasonable compensation Lease, whether or not expressly denominated as "Rent", shall constitute "rent" for the occupancy purposes of Section 502(b)(6) of the Premises by Tenant.
(c) Tenant or Trustee shall give Landlord at least 30 days written notice of any vacating or abandonment of the Premises or any proceeding relating to administrative claims. If Tenant vacates or abandons without notice, Tenant or Trustee shall stipulate to entry of an order for relief from stay to permit Landlord to reenter and re-let the PremisesBankruptcy Code.
(d) If Tenant failed to timely and fully perform any of its obligations under this Lease before is assigned to any person or entity pursuant to the filing of the Petition, whether or not Landlord has given Tenant written notice of that failure and whether or not any time period for cure expired before the filing of the Petition, Tenant shall be deemed to have been in default on the date the Petition was filed for all purposes under the Bankruptcy Code.
(e) For the purposes of Section 365(b)(1) provisions of the Bankruptcy Code, prompt cure any and all monies or other considerations payable or otherwise to be delivered to Landlord (including Base Rent, Additional Rent and other amounts hereunder), shall be the remain the exclusive property of defaults Landlord and shall mean cure within 30 days after assumption.
(f) For the purposes not constitute property of Section 365(b)(1) and 365(f)(2) Tenant or of the Bankruptcy Code, adequate assurance bankruptcy estate of future performance of this Lease by Tenant, Trustee . Tenant’s Bankruptcy. Landlord and Tenant (as either debtor or debtorThe lessor shall have the right to rescind the lease agree-in-possession) agree that if a petition (“Petition”) is filed by or against Tenant under any Chapter of Title 11 ment on the grounds of the United States Code (tenant’s bankruptcy if the “Bankruptcy Code”)estate has not announced, within a time limit of no less than one month set by the lessor, that it will fulfill the liabilities arising from the lease agreement after the commencement of bankruptcy, or if the tenant has not put up security for the fulfillment of these liabilities within the same time limit. If the tenant puts up security at a later date, but before receiving notice of rescission of the lease agreement, the following provisions right to rescind the lease agreement shall apply:

The estate shall be provided within 15 days after filing liable for fulfillment of the obligations arising from the lease agreement for any period during which it uses the apartment, even if it has not assumed liability for their fulfillment. If a residential apartment has been leased again, the primary tenant’s estate shall be liable for fulfillment of the obligations arising from the primary lease agreement from the commencement of bankruptcy until the time when the secondary tenant has been notified of the termination of the primary lease. (b) The sum of all amounts payable by Tenant to Landlord under this Lease constitutes reasonable compensation for the occupancy of the Premises by Tenanthis loss.

(b) If this Lease is not terminated in accordance with subsection (a) above because such termination is not allowed under the Bankruptcy Code (hereinafter defined), upon the filing of a petition by or against Tenant under the Bankruptcy Code, Tenant, as debtor and as debtor in possession, and any trustee who may be appointed, agree:
(1) to perform promptly each and every obligation of Tenant under this Lease until such time as this Lease is either debtor rejected or debtor-in-possessionassumed by order of a United States Bankruptcy Court or other United States Court of competent jurisdiction; or deemed rejected by operation of law, pursuant to 11 U.S.C. § 365(c)(4);

(3) to reject or assume this Lease within 60 days of the filing of such petition under Chapter 7 of the Bankruptcy Code or within 30 days of the filing of a petition under any other Chapter;
(4) to give Landlord at least ten (10) days prior written notice of any proceeding relating to any assumption of this Lease;
(5) to give Landlord at least thirty (30) days prior written notice of any abandonment of the Leased Premises;
(6) to be deemed conclusively to have rejected this Lease in the event of the failure to comply with any of the above;
(7) to have consented to the entry of an order by an appropriate United States Bankruptcy Court providing all of the above, waiving notice and hearing of the entry of same; and
(8) that this is a “lease of real property” as such term is used in the Bankruptcy Code.

Tenant’s Bankruptcy. (a) Adequate protection for Tenant’s obligations accruing benefit of creditors is commenced with regard to Tenant within 91 days after filing Landlord receives cleared payment of the Petition entire Termination Fee, and before this Lease Landlord is rejected unable to obtain or assumed retain all or part of the Termination Fee, then, to the extent permitted by law, any claims of the officers, directors, and/or shareholders (“Insiders”) of Tenant against Tenant in connection with such case or proceeding shall be provided subordinated to the claims of Landlord against Tenant, such that Landlord shall have the right to full payment of its claims before any payment is made on account of a claim of any of the Insiders in such case or proceeding. In the event Tenant becomes a debtor in a case under Title 11 of the United States Code or is subject to any similar insolvency proceeding or assignment for the benefit of creditors within 15 91 days after filing in the form Landlord’s receipt of a security deposit equal to three months’ Base Rent and Additional Rent and other Lease charges, to be held by the court or an escrow agent approved by Landlord and the court.
(b) The sum of all amounts payable by Tenant to Landlord under this Lease constitutes reasonable compensation for the occupancy cleared payment of the Premises by Tenant.
(c) entire Termination Fee, then any period of limitations or laches respecting any and all claims of Landlord against Tenant or Trustee shall give Landlord at least 30 days written notice be tolled and suspended from the date of any vacating or abandonment of this Agreement until the Premises or any proceeding relating to administrative claims. Landlord has given Tenant written notice of that failure and whether or not shall apply any time period for cure expired before the filing portion of the PetitionTermination Fee retained by Landlord, despite such insolvency proceeding or assignment for the benefit of creditors, against damages, costs and fees recoverable by Landlord from Tenant shall be deemed to have been in default on the date the Petition was filed for all purposes under the Bankruptcy Code.
(e) For the purposes of Section 365(b)(1) of the Bankruptcy Code, prompt cure of defaults shall mean cure within 30 days after assumption.
(f) For the purposes of Section 365(b)(1) and 365(f)(2) of the Bankruptcy Code, adequate assurance of future performance of this Lease by Tenant, Trustee or any proposed assignee will require that Tenant, Trustee or the proposed assignee deposit three months of Base Rent and Additional Rent into an escrow fund (to be held by the court or an escrow agent approved by Landlord and the court) as security for such future performance. In addition, if this Lease is to be assigned, adequate assurance of future performance by the proposed assignee shall require that: (i) the assignee have a tangible net worth not less than the net worth of Tenant as of the Commencement Date or that such assignee’s performance be unconditionally guaranteed by a person or entity that has a tangible net worth not less than the net worth of Tenant as of the Commencement Date; (ii) the assignee demonstrate that it possesses a history of success in operating a business of similar size and complexity in a similar market as Tenant’s business; and (iii) assignee assume in writing all of Tenant’s obligations relating to the Premises or this Lease.
(g) If Tenant or Trustee intends to assume and/or assign this Lease, Tenant or Trustee shall provide Landlord with 30 days written notice of the proposed action, separate from and in addition to any notice provided to all creditors. Notice of a proposed assumption shall state the assurance of prompt cure, compensation for loss and assurance of future performance to be provided to Landlord. Notice of a proposed assignment shall state: (i) the name, address, and federal tax identification and registration numbers of the proposed assignee; (ii) all of the terms and conditions of the proposed assignment, and (iii) the assignee’s proposed adequate assurance of future performance to be provided to Landlord.
(h) If Tenant is in default under this Lease when the Petition is filed, Landlord shall not be required to provide Tenant or Trustee with services or supplies under this Lease or otherwise before Tenant assumes this Lease, unless Tenant compensates Landlord for such services and supplies in advance.

Tenant’s Bankruptcy. Tenant’s Bankruptcy. SECTION 18.01. Landlord and Tenant (as either debtor or debtor-in-possession) agree that if Tenant ever becomes the subject of a petition voluntary or involuntary bankruptcy, reorganization, composition, or other similar type proceeding under the Federal Bankruptcy Laws, as now enacted or hereinafter amended, then "adequate protection" of Landlord's interest in the Demised Premises pursuant to the provisions of Sections 361 and 363 (“Petition”or their successor sections) is filed by or against Tenant under any Chapter of Title 11 of the United States Bankruptcy Code 11 U.S.C. Paragraph 101, et seq. (such Bankruptcy Code as amended from time to time being herein referred to as the “"Bankruptcy Code”), the following provisions shall apply:

SECTION 18.02. Tenant’s Bankruptcy. In addition to Landlord’s remedies under this Article 15, Landlord may, at its sole discretion and without notice, invoke the following provisions:

(1) to perform promptly each and every obligation of Tenant under this Lease until such time as this Lease is either debtor rejected or debtorassumed by order of a United States Bankruptcy Court or other United States Court of competent jurisdiction; or deemed rejected by operation of law, pursuant to 11 U.S.C. § 365(c)(4);
(2) to pay monthly in advance on the first day of each month as reasonable compensation for use and occupancy of the Leased Premises an amount equal to all Annual Gross Rent and all other Additional Rent;
(3) to reject or assume this Lease within sixty (60) days of the filing of such petition under Chapter 7 of the Bankruptcy Code or within thirty (30) days of the filing of a petition under any other Chapter;
(4) to give Landlord at least forty-in-possessionfive (45) agree days prior written notice of any proceeding relating to any assumption of this Lease;
(5) to give Landlord at least thirty (30) days prior written notice of any abandonment of the Leased Premises;
(6) to be deemed conclusively to have rejected this Lease in the event of the failure to comply with any of the above;
(7) to have consented to the entry of an order by an appropriate United States Bankruptcy Court providing all of the above, waiving notice and hearing of the entry of same; and
(8) that this is a “lease of real property” as such term is used in the Bankruptcy Code.
(c) Notwithstanding anything in this Lease to the contrary, all amounts payable by Tenant to or on behalf of Landlord hereunder, whether or not expressly denominated as Rent, shall constitute “rent” for the purposes of Section 502(b)(7) of the Bankruptcy Code, including, without limitation, reasonable attorneys’ fees incurred by Landlord by reason of Tenant’s bankruptcy.
(d) Nothing contained in this Section 15.3 shall be deemed in any manner to limit Landlord’s rights and remedies under the Bankruptcy Code, as presently existing or as may hereafter be amended. In the event that the Bankruptcy Code is interpreted or amended during the term of this Lease to so permit, or is superseded by an act so permitting, the following additional acts shall be deemed an event of default under this Lease: (i) if Tenant is adjudicated insolvent by the United States Bankruptcy Code or (ii) if a petition (“Petition”) is filed by or against Tenant under any Chapter the Bankruptcy Code and such petition is not vacated within one hundred twenty (120) days. In either of Title 11 such events, this Lease and all rights of Tenant hereunder shall automatically terminate with the same force and effect as if the date of either such event were the date stated herein for the expiration of the United States Code (the “Bankruptcy Code”)Term, the following provisions shall apply:

(g) If Tenant or Trustee intends to assume and/or assign this Lease, Tenant or Trustee shall provide Landlord with 30 days written notice of the proposed action, separate from and in addition to any notice provided to all creditors. Notice of a proposed assumption shall state the assurance of prompt cure, compensation for loss and assurance of future performance to be provided to Landlord. Notice of a proposed assignment shall state: (i) the name, address, and federal tax identification and registration numbers of the proposed assignee; (ii) all of the terms and conditions of the proposed assignment, and (iii) the assignee’s 's proposed adequate assurance of future performance to be provided to Landlord.
(h) If Tenant is in default under this Lease when the Petition is filed, Landlord shall not be required to provide Tenant or Trustee with services or supplies under this Lease or otherwise before Tenant assumes this Lease, unless Tenant compensates Landlord for such services and supplies in advance.

Tenant’s Bankruptcy. Landlord and Tenant (as either debtor or debtor-in-possession) agree that if a petition (“Petition”) is filed by or against Tenant tenant under any Chapter chapter of Title 11 of the United States Code (the “Bankruptcy Code”), the following provisions shall apply:
(a) Adequate protection for Tenant’s obligations accruing after filing of the Petition and before this Lease is rejected or assumed shall be provided within 15 days after filing in the form of a security deposit equal to three months’ Base Rent and Additional Rent and other Lease charges, to be held by the court or an escrow agent approved by Landlord and the court.
(b) The sum of all amounts payable by Tenant to Landlord under this Lease constitutes reasonable compensation for the occupancy of the Premises by Tenant.
(c) Tenant or Trustee shall give Landlord at least 30 days written notice of any vacating or abandonment of the Premises or any proceeding relating to administrative claims. If Tenant vacates or abandons without notice, Tenant or Trustee shall stipulate to entry of an order for relief from stay to permit Landlord to reenter and re-let relet the Premises.
(d) If Tenant failed to timely and fully perform any of its obligations under this Lease before the filing of the Petition, whether or not Landlord has given Tenant written notice of that failure and whether or not any time period for cure expired before the filing of the Petition, Tenant shall be deemed to have been in default on the date the Petition was filed for all purposes under the Bankruptcy Code.
(e) For the purposes of Section 365(b)(1) of the Bankruptcy Code, prompt cure of defaults shall mean cure within 30 days after assumption.
(f) For the purposes of Section 365(b)(1) and 365(f)(2) of the Bankruptcy Code, adequate assurance of future performance of this Lease by Tenant, Trustee or any proposed assignee will require that Tenant, Trustee or the proposed assignee deposit three months of Base Rent and Additional Rent into an escrow fund (to be held by the court or an escrow agent approved by Landlord and the court) as security for such future performance. In addition, if this Lease is to be assigned, adequate assurance of future performance by the proposed assignee shall require that: (i) the assignee have a tangible net worth not less than the net worth of Tenant Tenant, as of the Commencement Date or that such assignee’s performance be unconditionally guaranteed by a person or entity that has a tangible net worth not less than the net worth of Tenant as of the Commencement Date; (ii) the assignee demonstrate that it possesses a history of success in operating a business of similar size and complexity in a similar market as Tenant’s business; and (iii) assignee assume in writing all of Tenant’s obligations relating to the Premises or this Lease.
(g) If Tenant or Trustee intends to assume and/or assign this Lease, Tenant or Trustee shall provide Landlord with 30 days written notice of the proposed action, separate from and in addition to any notice provided to all creditors. Tenant’s Bankruptcy. In addition to Landlord's remedies under this Article 15, Landlord may, at its sole discretion and without notice, invoke the following provisions:
(a) Upon a Tenant's bankruptcy, this Lease and all rights of Tenant hereunder shall automatically terminate with the same force and effect as if the date of any such event were the date stated herein for the expiration of the Term, and Tenant shall vacate and surrender the Leased Premises, but shall remain liable as herein provided. Landlord reserves any and all remedies provided herein or at law or in equity
(b) If this Lease is not terminated in accordance with subsection (a) above because such termination is not allowed under the Bankruptcy Code (hereinafter defined), upon the filing of a petition by or against Tenant under the Bankruptcy Code, Tenant, as debtor and as debtor in possession, and any trustee who may be appointed, agree:
(1) to perform promptly each and every obligation of Tenant under this Lease until such time as this Lease is either debtor rejected or debtorassumed by order of a United States Bankruptcy Court or other United States Court of competent jurisdiction; or deemed rejected by operation of law, pursuant to 11 U.S.C. ss. 365(c)(4);
(2) to pay monthly in advance on the first day of each month as reasonable compensation for use and occupancy of the Leased Premises an amount equal to all Annual Gross Rent and all other Additional Rent;
(3) to reject or assume this Lease within sixty (60) days of the filing of such petition under Chapter 7 of the Bankruptcy Code or within thirty (30) days of the filing of a petition under any other Chapter;
(4) to give Landlord at least forty-in-possessionfive (45) agree days prior written notice of any proceeding relating to any assumption of this Lease;
(5) to give Landlord at least thirty (30) days prior written notice of any abandonment of the Leased Premises;
(6) to be deemed conclusively to have rejected this Lease in the event of the failure to comply with any of the above;
(7) to have consented to the entry of an order by an appropriate United States Bankruptcy Court providing all of the above, waiving notice and hearing of the entry of same; and
(8) that this is a "lease of real property" as such term is used in the Bankruptcy Code.
(c) Notwithstanding anything in this Lease to the contrary, all amounts payable by Tenant to or on behalf of Landlord hereunder, whether or not expressly denominated as Rent, shall constitute "rent" for the purposes of Section 502(b)(7) of the Bankruptcy Code, including, without limitation, reasonable attorneys' fees incurred by Landlord by reason of Tenant's bankruptcy.
(d) Nothing contained in this Section 15.3 shall be deemed in any manner to limit Landlord's rights and remedies under the Bankruptcy Code, as presently existing or as may hereafter be amended. In the event that the Bankruptcy Code is interpreted or amended during the term of this Lease to so permit, or is superseded by an act so permitting, the following additional acts shall be deemed an event of default under this Lease: (i) if Tenant is adjudicated insolvent by the United States Bankruptcy Code or (ii) if a petition (“Petition”) is filed by or against Tenant under any Chapter the Bankruptcy Code and such petition is not vacated within one hundred twenty (120) days. In either of Title 11 such events, this Lease and all rights of Tenant hereunder shall automatically terminate with the same force and effect as if the date of either such event were the date stated herein for the expiration of the United States Code (the “Bankruptcy Code”)Term, the following provisions shall apply:
