Common use of Termination and Vesting Clause in Contracts

Termination and Vesting. Any termination under this Agreement shall concurrently effect a termination of the Approvals with respect to the terminated portion of the Project Site, except as to any Approval pertaining to a Building that has Commenced Construction in reliance thereon. In the event of any termination of this Agreement by Developer resulting from a Default by the City and except to the extent prevented by such City Default, Developer's obligation to complete the applicable Community Benefits shall continue as to the Building which has Commenced Construction and all relevant and applicable provisions of this Agreement shall be deemed to be in effect as such provisions are reasonably necessary in the construction, interpretation or enforcement to this Agreement as to any such surviving obligations. The City's and Developer's rights and obligations under this Section 11.3 shall survive the termination of this Agreement.

In the event of any termination of this Agreement by Developer resulting from a Default by the City and except to the extent prevented by such City Default, Developer's ’s obligation to complete the applicable Associated Community Benefits shall continue as that are tied to the a Building which that has Commenced Construction shall continue (and all relevant and applicable provisions of this Agreement with respect to such obligation shall be deemed to be in effect as such provisions are reasonably necessary in the construction, interpretation interpretation, or enforcement to of this Agreement as to any such surviving obligations). The City's ’s and Developer's ’s respective rights and obligations under this Section 11.3 11.5 shall survive the termination of this Agreement.

In the event of any termination of this Agreement by Developer SFCM resulting from a Default by the City and except to the extent prevented by such City Default, DeveloperSFCM's obligation to complete the applicable Community Public Benefits shall continue as to the Building which that has Commenced Construction been demolished and all relevant and applicable provisions of this Agreement shall be deemed to be in effect as such provisions are reasonably necessary in the construction, interpretation or enforcement to this Agreement as to any such surviving obligations. The City's and DeveloperSFCM's rights and obligations under this Section 11.3 shall survive the termination of this Agreement.
