Termination Apart from Change in Control. In the event Executive’s employment is terminated for any reason, either prior to the occurrence of a Change in Control or after the twelve (12) month period following a Change in Control, then Executive will be entitled to receive severance and any other benefits only as may then be established under the Company’s existing written severance and benefits plans and practices or pursuant to other written agreements with the Company, including, without limitation, any Equity Award agreement.

Termination Apart from Change in Control. In the event that Employee’s employment by the Company is terminated for any reason, either (i) more than six (6) months before a Change in Control or (ii) more than twelve (12) months after a Change in Control, then Employee shall not be entitled to any Benefits under this Agreement and shall only be entitled to receive severance and other benefits as may be provided for under the Company’s other severance and benefit plans, or pursuant to other written agreements between Employee and the Company, as may at that time exist.
