TERMINATION BY THE COMPANY OR BY EXECUTIVE. This Employment Agreement may be terminated by the Board of Danka Business Systems or by Executive upon one (1) year's written notice, provided that Danka Business Systems or Executive, as the case may be, shall give Notice of Termination (as hereinafter defined). Compensation paid to Executive during the one-year notice period following the giving of the Notice of Termination shall be considered to be part of the severance pay described in Section 9 of this Employment Agreement. This Employment Agreement may be terminated upon six months' written notice by Danka Business Systems by reason of the Disability (as hereinafter defined) of Executive. This Employment Agreement may be terminated by the Board of Danka Business Systems immediately upon giving Notice of Termination for Cause (as hereinafter defined) and may be terminated by Executive for Good Reason (as hereinafter defined) immediately upon giving Notice of Termination, provided that the Company shall in either case pay to Executive the compensation and other benefits described in Section 9 of this Employment Agreement.
TERMINATION BY THE COMPANY OR BY EXECUTIVE. (a) The Company may ------------------------------------------ terminate Executive's employment at any time, upon notice by the Company to the Executive, for cause or for any other reason which would not constitute cause. Termination by the Company for "cause" shall mean termination because of: (a) Executive's refusal to perform, or continual neglect of, his duties or obligations hereunder (other than breaches of the covenants set forth in Sections 1, 7 and 8 hereof which events are governed by clause (e) below), in any such instance which is materially and demonstrably injurious to the Company and which neglect or failure to act is not remedied within sixty (60) days after written notice thereof to the Executive by the Company; (b) Executive's conviction (which, through lapse of time or otherwise, is not subject to appeal) of any crime or offense involving money or other property of the Company or any of its subsidiaries or which constitutes a felony in the jurisdiction involved, (c) Executive's performance of any act or his failure to act, for which if Executive were prosecuted and convicted, would constitute a crime or offense involving money or property of the Company or any of its subsidiaries, or which would constitute a felony in the jurisdiction involved, (d) any attempt by Executive to secure improperly any personal profit in connection with the business of the Company or any of its subsidiaries, which individually or in the aggregate is materially and demonstrably injurious to the Company and which, to the extent such material and demonstrable injury is capable of being cured, is not remedied within sixty (60) days after written notice thereof to the Executive by the Company, (e) any breach by Executive of any of the terms of Section 1, 7 or 8 of this Agreement, in any such instance which is materially and demonstrably injurious to the Company and which breach is not remedied within sixty (60) days after written notice thereof to the Executive by the Company.
TERMINATION BY THE COMPANY OR BY EXECUTIVE. This Employment Agreement may be terminated by the Company or by Executive upon thirty days' written notice, provided that the Company or Executive, as the case may be, shall give Notice of Termination (as defined in Section 10). Compensation paid to Executive during the thirty day notice period following the giving of the Notice of Termination shall be considered to be part of the severance pay described in Section 9 of this Employment Agreement.

  • Termination by the Company Without Cause or by Executive for Good Reason If Executive’s employment is terminated by the Company without Cause or by Executive for Good Reason:

  • Termination by Executive The Executive may terminate his employment hereunder at any time for any reason by giving the Company prior written notice not less than 30 days prior to such termination. Any termination pursuant to this paragraph 3(e) shall preclude a later claim that such termination was for Good Reason.

  • Termination by the Company Without Cause or by the Executive with Good Reason During the Term, if the Executive’s employment is terminated by the Company without Cause as provided in Section 3(d), or the Executive terminates his employment for Good Reason as provided in Section 3(e), then the Company shall pay the Executive his Accrued Benefit. In addition, subject to the Executive signing a separation agreement containing, among other provisions, a general release of claims in favor of the Company and related persons and entities, confidentiality, return of property and non-disparagement, in a form and manner satisfactory to the Company (the “Separation Agreement and Release”) and the Separation Agreement and Release becoming fully effective, all within the time frame set forth in the Separation Agreement and Release:

  • Termination by Executive Without Good Reason Executive may terminate his employment upon 30 days’ written notice to the Company. In the event Executive terminates his employment in this manner, he shall remain in the Company’s employ subject to all terms and conditions of this Agreement for the entire 30-day period unless instructed otherwise by the Company in writing.

  • Voluntary Termination by Executive The Executive may voluntarily terminate his employment for any reason and such termination shall take effect 30 days after the receipt by Company of the Notice of Termination. Upon the effective date of such termination, Executive shall be entitled to (a) accrued and unpaid Salary and vacation through such termination date; and (b) all other compensation and benefits that were vested through such termination date. In the event Executive is terminated without notice, it shall be deemed a termination by the Company for Cause.
