Common use of Termination by the Company with Notice Clause in Contracts

Termination by the Company with Notice. The Company may terminate this Agreement and Executive’s employment (i) without Cause at any time upon sixty (60) days written notice to Executive, and (ii) upon expiration of the Employment Term; provided, however, that upon such termination or expiration of the Employment Term accompanied by the Company’s termination of Executive’s employment, Executive shall be entitled to compensation as provided in Sections 6(a) and (b) below.

The Company may terminate this Agreement and Executive’s employment (i) without Cause at any time upon sixty (60) days written notice to Executive, during which period Executive shall not be required to perform any services for the Company other than to assist the Company in training his successor and (ii) upon expiration of generally preparing for an orderly transition, and the Company may elect not to renew the Employment Term, in accordance with a Non-Renewal Notice given under Section 2(a); provided, however, that upon such termination or expiration of the Employment Term accompanied by the Company’s termination of Executive’s employmentnon-renewal, Executive shall be entitled to compensation as provided in Sections 6(aSection 7(a) and (b) below.
