Accrued Entitlements. Purchaser shall be responsible for all accrued entitlements, including vacation days, for Affected Employees as of the Closing Date consistent with Pfizer's policy in respect thereof.
Accrued Entitlements. If the Executive’s employment terminates for or without Cause or due to the Executive’s resignation with or without Good Reason or death, the Executive will be entitled to the following:
Accrued Entitlements. Except as set forth herein, Buyer shall be responsible for all accrued entitlements, including vacation days, severance and retirement obligations, for all Transferring Employees as of the Closing Date consistent with Seller's policy in respect thereof to the extent that the same are accrued as liabilities on the Closing Balance Sheet.
Accrued Entitlements. The National has already paid the net amount of $492.96 to Scholes on 15 March 2004. This payment is in satisfaction of TRP to 12 March 2004 and includes all of Scholes’ accrued annual leave and annual leave loading entitlements.
Accrued Entitlements. Each Affected Employee shall cease to participate in the employee benefit plans, programs and arrangements of Seller immediately prior to the Effective Time applicable to such Affected Employee. Neither Purchaser nor its Affiliates shall have any liability for, and Seller shall be solely liable and responsible for, (i) compensation, if any, payable to or for the benefit of any person prior to such time, if any, as such person becomes an Affected Employee, and subject to Section 7.5(b), in the case of each Affected Employee, all compensation with respect to periods prior to the Effective Time, and (ii) liabilities, if any, incurred under any employee benefit plan, program or arrangement of Seller or its Affiliates by any person who does not become an Affected Employee, and, in the case of each Affected Employee, and subject to Section 7.5(b) all liabilities incurred under any employee benefit plan, program or arrangement of Seller or its Affiliates that is incurred prior to the Effective Time. For purposes of the foregoing, the following liabilities shall be deemed to be incurred as follows:
(A) in the case of life insurance, accidental death and dismemberment insurance or business travel accident insurance, when the death or accident giving rise to the claim occurs; (B) in the case of disability benefits, when the individual becomes entitled to benefits under the terms of the applicable disability plan of Seller or Purchaser as the case may be; and (C) in the case of health, dental and/or prescription drug benefits, when the services, materials or supplies for which coverage is claimed are provided or sold. Without limiting the foregoing, Purchaser and its Affiliates shall have no liability for, and Seller shall be solely liable and responsible for, the severance or similar separation pay benefits, if any, with respect to any person who does not become an Affected Employee.
Accrued Entitlements. Purchaser shall be responsible for all accrued entitlements to the extent and up to the amounts reflected on the Closing Balance Sheet, including, but not limited to, vacation days, for Affected Employees as of the Closing Date, consistent with Seller’s policy in respect thereof. Seller shall give Purchaser reasonable access to and a copy of the records of Seller necessary to determine and administer the vacation and other accrued entitlements of Affected Employees as reflected on the Closing Balance Sheet.
Accrued Entitlements. Seller shall provide to Horizon and Arrow a statement of all accrued entitlements for Employees, including but not limited to vacation days, wages and other compensation consistent with past practice.
Accrued Entitlements. To the extent reflected in the Working Capital Statement Purchaser shall be responsible for all accrued but unused vacation days, for Affected Employees as of the Closing Date consistent with Pfizer's policy in respect thereof
Accrued Entitlements. (i) A redundant employee will be paid out his/her accrued entitlements on the same basis that applies when an employee leaves his/her employment with the company in a non-redundancy situation.
Accrued Entitlements. The Employer agrees to recognise all accrued entitlements in respect of annual leave, long service leave and/or personal leave as at the date of commencement of this agreement.
