Common use of Termination by the Department Clause in Contracts

Termination by the Department. In addition to the sections in Part II of this Contract, upon delivery to the Contractor of a Notice of Termination specifying the nature of the termination and the date upon which such termination becomes effective the Contractor shall: a. Stop work under the Contract on the date and to the extent specified in the Notice of Termination; b. If the Department so directs, terminate all subcontracts to the extent that they relate to the performance of work terminated by the Notice of Termination or assign to the Department in the manner and to the extent directed by the Department all of the right, title, and interest of the Contractor under the subcontracts not so terminated, in which case the Department shall have the right, in its discretion, to settle or pay any and all claims arising out of the termination of such subcontracts; c. Complete the performance of the work that has not been terminated by the Notice of Termination; and d. Be entitled to payment for services agreed upon by the parties and rendered to the Department’s satisfaction through the effective date of termination.
