Termination Dissolution and Liquidation of the Company. Section 9.1 Events Causing Dissolution. The Company will be dissolved only upon the occurrence of any of the following events (each, a “Dissolution Event”): (a) Permanent cessation of the Company’s business; (i) The consent of the Manager and (ii) the affirmative Majority Vote; or (c) The final decree of a court of competent jurisdiction that such dissolution is required under applicable law.
