Common use of Termination Effect Clause in Contracts

Termination Effect. The Parties agree that upon the expiration of the Term or earlier termination of this Agreement, and except as may be otherwise mutually agreed in writing by the Parties: (a) All rights and obligations of the Parties under this Agreement, except as provided in Section 4.4 (Survival) below, shall terminate and no longer be valid or bind the Parties. Without limiting the generality of the foregoing. (b) All accrued royalty fees due for periods prior to such expiration or termination shall become due and payable within thirty (30) Business Days following the later of (i) the date of such expiration or termination; and (ii) the receipt by the Licensees of Shengqu's invoice for such royalty fees.
