Termination for Conflict. If, in the reasonable judgment of TDSB, such conflict poses a material conflict to and with the performance of the Vendor’s obligations under this Contract, then TDSB may terminate this Contract immediately upon written notice to the Vendor; such termination shall be effective upon the receipt of such notice by the Vendor.

Termination for Conflict. County may terminate this Agreement without penalty or further obligation, within two (2) years after its execution, if any person significantly involved in initiating, negotiating, securing, drafting or creating the Agreement on behalf of County is, at any time while the Agreement or any extension of the Agreement is in effect, an employee or agent of Developer in any capacity or consultant Developer with respect to the subject matter of the Agreement.
