Common use of Termination for Criminal Conviction Clause in Contracts

Termination for Criminal Conviction. HHSC will have the right to terminate the Contract in whole or in part, or require the replacement of a Material Subcontractor, if the MCO or a Material Subcontractor is convicted of a criminal offense in a state or federal court: (i) Related to the delivery of an item or service; (ii) Related to the neglect or abuse of patients in connection with the delivery of an item or service; (iii) Consisting of a felony related to fraud, theft, embezzlement, breach of fiduciary responsibility, or other financial misconduct, or (iv) resulting in a penalty or fine in the amount of $500,000 or more in a state or federal administrative proceeding.
