Common use of Termination for Withdrawal of Authority Clause in Contracts

Termination for Withdrawal of Authority. In the event that WSDOT’s authority to perform any of its duties is withdrawn, reduced, or limited in any way after the commencement of this Contract and prior to normal completion, WSDOT may terminate this Contract by seven (7) calendar days written notice to Vendor. No penalty shall accrue to WSDOT in the event this section shall be exercised. This section shall not be construed to permit WSDOT to terminate this Contract in order to acquire similar Services from a third party.

However, the terminating party shall be responsible for all reasonable and appropriate costs and expenses incurred prior to termination, and all noncancellable obligations.
