Common use of Termination of a Member Entity’s Participation in the Authority Clause in Contracts

Termination of a Member Entity’s Participation in the Authority. Any Member Entity may withdraw from this Agreement by giving written notice of its election to do so, which notice shall be given to the Board and to each of the other Member Entities; provided, however, that any Member Entity so withdrawing shall waive, forfeit, and relinquish any claim or right to any funds or other property, rights, or interests of the Authority; and provided, further, that withdrawal by a Member Entity shall not terminate, or relieve the withdrawing Member Entity from, any express contractual duty to the Authority or to another Member Entity set forth in a written contract different from this Agreement.
