Common use of Termination of Offsite Data Management Services Clause in Contracts

Termination of Offsite Data Management Services. (1) Notwithstanding TIMG’s rights to terminate this Agreement under clause 4, the Client agrees and acknowledges that TIMG may terminate the Services immediately where: (a) it is necessary as a result of a force majeure event; (b) TIMG has suspended the Service in accordance with clause 10.6, and such suspension is not lifted within 14 days; (c) TIMG, acting reasonably, suspects that there has been fraudulent or illegal use of the Services; (d) TIMG reasonably believes that the Client is jeopardising the operation or quality of our systems, or the Services that TIMG supplies to other Clients; and (e) the Client becomes, or is deemed by TIMG to be, an unacceptable credit risk.
