Common use of Termination of the Main Contract Clause in Contracts

Termination of the Main Contract. In addition to conditions pursuant to clause 24 of Defra Standard Terms and Conditions For Research And Development, in the event of termination of the Main Contract, this contract shall also be terminated. The Contractor will then submit within 6 weeks of the termination date a statement of any outstanding costs or credits for the services, including the cost of any commitments entered into by the Contractor before the date of termination. This document has been prepared following a call for Expressions of Interest (December 2011) and Cefas assessment of responses. Organisations who did not respond to this EOI call are not precluded from responding to this Invitation to Tender. This Invitation to Tender implies no obligation on the part of Cefas. This Invitation to Tender is seeking bids for the following types of work: a) Acoustic (multibeam bathymetry/sidescan sonar) survey b) Acoustic (multibeam bathymetry/sidescan sonar) survey with a biological validation component c) Intertidal surveys d) Provision of offshore Client Representative services As part of the implementation by HM Government of the Marine and Coastal Access Act, a network of conservation sites, intended to conserve or improve the UK marine environment, is being created in British seas. The network will comprise European Marine Sites, Sites of Special Scientific Interest, Ramsar sites and Marine Conservation Zones (MCZs). Through Defra, four regional MCZ projects have produced recommendations for proposed sites for MCZs, and there is now a need to ensure that the supporting evidence base is sufficient for the purpose. In order to address this issue, Defra are, where appropriate, commissioning the collection of additional evidence, by means of marine surveys, from a number of pre- defined rMCZs, during the current financial year (FY2011/12). Cefas as an executive agency of Defra will act as R&D Programme Managers for this work. Cefas‟ main responsibilities will be to co-ordinate the collection of scientifically robust and cost- effective evidence from within a selection of rMCZs during the remainder of FY2011/12 and to manage the delivery of the resulting survey / data outputs. The work will be undertaken via marine surveys and the programme will be conducted in close consultation with Defra, Natural England, JNCC and the Environment Agency. It is proposed that the survey programme, a mixture of acoustic and biological validation surveys, will be carried out during February and March 2012 by a range of service providers from both public and private sectors. Market capability has been assessed via the aforementioned EOI call and appropriate providers will be identified and selected via this Invitation to Tender. Cefas intend to assess the compliant bids and award contracts by week commencing Monday February 13th 2012, with a proposed start date of no later than March 1st 2012, and a survey completion date of no later than March 31st 2012.
