Termination Upon Initial Public Offering. Upon an Initial Public Offering, the parties will effect an amendment to this Agreement to provide for the deletion of clauses (a), (b), (c), (d), (f), (g), (h), (i), (k), (l), (m), (p) and (q) of Section 5.2 of this Agreement and any other appropriate amendments to Articles II, III and V of this Agreement.

The Company may impose stop-transfer instructions with respect to the shares of Common Stock or other securities subject to the foregoing restriction until the end of the “lock-up” period.

  • Not a Public Offering If you are resident outside the U.S., the grant of the Restricted Stock Units is not intended to be a public offering of securities in your country of residence (or country of employment, if different).
