Common use of Terms of the ICS Engagement Clause in Contracts

Terms of the ICS Engagement. Parties acknowledge and agree that Mercatus’ performance of the Services is contingent on the following assumptions, and that any material changes to the assumptions below may affect Mercatus’ ability to deliver the Services as described and according to project timeline estimates: • Mercatus is responsible for setting the project timeline and meeting all due dates given Customer’s engagement of Mercatus for ICS services. • Customer will take primary ownership of all project management, documentation, requirements gathering, user testing, and user deployment activities. • The Services do not include the development of any specific custom code by Mercatus, nor do they include the development of any specific written technical documentation. • Validating data accuracy is the responsibility of the Customer. • Mercatus’ ability to deliver the Services may require the reasonable availability of Customer resources and key decision makers. • Customer acknowledges that its timely provision of office accommodations, facilities, equipment, complete and accurate information and data from Customer, agents, and employees, and suitably configured computer products are essential to performance of Services.
